Position

Joanna has worked as a corporate lawyer for over 25 years predominantly on corporate transactions for both private and public companies. Joanna advises corporate clients across a variety of sectors on M&A transactions, JVs and MBOs and individuals on start-ups, exits and shareholders agreements. For public company clients, Joanna advised on flotations, both on Aim and Main Market, fundraisings, reorganisations and takeovers as well as providing strategic advice to the board on corporate governance issues. Notably, Joanna was the lead legal adviser on the first takeover of a split capital investment trust under the Takeover Code. Joanna’s practice includes a significant number of clients within the leisure sector including The Restaurant Group plc and other restaurants and bars within the sector.

Among other highlights, Paul Webb acted for the shareholders of Adsensa on the sale of 100% of the share capital to US technology company Exari Group; Edward Hoare advised Pavilion Books Group on the acquisition of the Pitkin Publishing imprint and related trade and assets from The History Press; Dominic Prentis, who joined from Gowling WLG in January 2018, assisted AIM-listed wealth management firm AFH Financial Group on the acquisition of financial planning business Eunisure; and Jessica Nugent advised Simmons Bar Group on the £10m sale of a majority stake in the company to a private equity-backed purchase vehicle.
