Position

Ingo is a partner and co-head of the Finance & Regulatory practice group at bpv Huegel and is also active in the practice areas Insurance and Restructuring & Insolvency. His practice focuses on a broad range of structured and corporate finance transactions and regulatory advice, including asset based lending, asset finance, acquisition finance, leasing, loan (portfolio) sales, distressed situations and restructuring. He also advises in insurance and insurance regulatory matters.

Work highlights include *):

• global UK bank on the amendment of a USD 200 million credit line according to ESG criteria with the Austrian subsidiary (European headquarters)
• IMMOFINANZ AG (listed on Vienna and Warsaw stock exchange) on an approx. EUR 340 million intra-group long-term senior facility agreement with CPI Property Group (listed on Frankfurt stock exchange) as lender for financing the acquisition of a majority shareholding in S IMMO AG (listed on Vienna stock exchange)
• major French credit institution on the transfer of loans and collateral together with loan receivables of a German branch to its German subsidiary
• German investment and asset development group on regulatory law and the financing structure of energy efficiency projects and contract documentation in Austria
• Austrian bank on regulatory (esp. CRR, Delegated Own-Funds Regulation) and contractual issues relating to the restructuring of a significant intra-group financing, including financing documentation and supporting corporate documentation
• Austrian AIFM of a large German banking group on the implementation of the remuneration guidelines, in particular in compliance with the ESMA guidelines on remuneration under the AIFM Directive and the UCITS Directive
• Austrian bank on amendment of the internal remuneration guidelines, executive service contracts, deferred variable remuneration, and appointment and fit & proper evaluation of board members
• major US bank in restructurings and refinancing of ABL arrangements with Austrian co-debtors, collateral providers and/or collateral
• Irish bank on leasing, sale-and-lease-back, software leasing and financing, assignment of receivables, hire-purchase, guarantees, and other sales financing in Austria, including regulatory advice
• major German bank on regulatory and data protection requirements of data transfers for global securities trading for Austrian customers
• major US bank on data privacy, labour, and regulatory requirements for collection and review of employee’s correspondence and calls
• German subsidiary of a British derivatives trading platform on branch office and offering services to customers in Austria
• French specialist bank on regulatory requirements for collateralization of loans secured by film distribution revenues
• various US funds on purchase of non-performing loans with Austrian borrowers
