Growing legal talents – SK Innovative Summer School is a two-week law marathon which gathers top law students, offers an inside look at how law firms work, broadens student horizons and enhances understanding of the business world, the legal profession, and their own abilities. As a result, students grow and obtain personal development by expanding awareness, awakening curiosity and thinking differently. Last year we welcomed two of our clients as guest speakers who shared their inspiration and insights on doing business in Ukraine. Sayenko Kharenko joined the initiative of Coca-Cola and Osvitoria Public Union to support Socially Vulnerable Youth Development Program.This project supports graduates in preparation for Standardized External Testing exams and helps determine their future profession. Within the framework of the implementation of the educational iLearn project, the SK team visited eight boarding schools, introducing children to their rights and conducting interactive courses aiming to raise the level of legal literacy and awareness, while also helping them enjoy the social benefits and guarantees provided by Ukrainian legislation.
Blood Donation series of events.
Sayenko Kharenko supported a blood donation program that included two events: Halloween Blood Donation and AmCham St. Valentines Day Blood Donation. Both were initiated and organized by the American Chamber of Commerce in Ukraine in partnership with DonorUA.

Ukrainian language book publishing support
In 2017, we launched a joint project with the publishing house Knigolove to support books printing in Ukrainian translation and to popularize reading culture among our clients and partners. So far, two books have been published with our support, joining our corporate gifts to clients and partners.

30th September 2021 Sayenko Kharenko has acted as Ukrainian legal counsel to an ad hoc committee of bondholders in connection with USD 2 billion debt restructuring by DTEK, the largest private energy company in Ukraine. The restructuring was implemented through two inter conditional English schemes of arrangement sanctioned by English courts and was successfully completed on 17 May 2021. Pursuant to its terms, DTEK Energy’s existing Eurobonds and bank debt have been converted into two new Eurobond issues: (1) USD 1.65 billion 7 per cent Eurobond issue by DTEK Energy maturing on 31 December 2027 and (2) USD 425 million 6.75 per cent Eurobond issued by DTEK Oil&Gas maturing on 31 December 2026. 30th September 2021 Sayenko Kharenko antitrust team has acted as legal advisor to Fiat Chrysler Automobiles N.V. (“FCA”) in obtaining the necessary approval of the Antimonopoly Committee of Ukraine (the AMC) for a merger of FCA with Peugeot S.A. (“Groupe PSA”) to create the world’s fourth-largest automobile manufacturer by volume with annual sales of 8.7 million units and combined revenues of nearly €170 billion. The merger between FCA and Groupe PSA became effective on 16 January 2021 creating Stellantis N.V. (“Stellantis”), which will be an industry leader with the management, capabilities, resources, and scale to successfully capitalize on the opportunities presented by the new era in sustainable mobility. The combined entity will have a balanced and profitable global presence with a highly complementary and iconic brand portfolio covering all key vehicle segments from luxury, premium, and mainstream passenger cars through to SUVs and trucks & light commercial vehicles. Following an in-depth market investigation initiated by the AMC, the parties presented well-structured and strong arguments to the AMC proving the absence of competition concerns as the result of the merger. Having analyzed the detailed market studies and reactions of the market players, the AMC agreed with the findings and conclusions of the parties and approved the transaction. Sayenko Kharenko antitrust team advising on the project included senior associate Igor Pomaz and associate Kateryna Novodvorska and was led by partner Valentyna Hvozd. Sayenko Kharenko acted as Ukrainian legal counsel to BNP Paribas, Goldman Sachs, Citigroup and J.P. Morgan Securities, joint lead managers of USD 2 billion Eurobond issue by Ukraine.
The issue comprises USD 750 million notes due 2024 and USD 1.25 billion notes due 2028. A share of proceeds of the new issue has been used by Ukraine to redeem its USD 725 million zero coupon notes issued for the purposes of bridge financing earlier in 2018, while the remaining funds will be applied for general budgetary purposes of the sovereign. The issue took place on the back of prolonged negotiations between Ukraine and IMF and gives a positive signal that international capital markets are still open for the Ukrainian debt.
