Career

Lorica Elferink is an Executive at ENSafrica in the Corporate Commercial department. 

She specialises in corporate and commercial law, including particularly M&A (in relation to both listed and unlisted companies), corporate actions of listed entities, listings and the JSE listings requirements, the Takeover Regulations and private equity transactions (both fund formation and transactional work). She also regularly advises on company formation, corporate governance and compliance in relation to the Companies Act, JSE listings requirements and King IV.

Lorica has acted for several public and private companies in various complex corporate transactions, including the restructuring of complex multi-tiered ownership structures. Lorica has also acted in several renewable energy transactions, including conducting numerous extensive due diligence investigations, negotiating transaction agreements, procuring the relevant regulatory consents and ensuring implementation.

Lorica’s experience includes advising on and drafting pre-listing statements, circulars and SENS announcements (including in relation to schemes of arrangement, issues of shares and related party transactions) and negotiating, drafting and driving the implementation of transactional agreements (including sale of shares, business and land, put and call option agreements and convertible loan agreements) and company constitutional documents (including memoranda of incorporation, shareholders’ agreements and board charters).

Lorica has also guest lectured on Fundamental Transactions in terms of the Companies Act to the final-year LLB students specialising in company law at the University of Stellenbosch.
