Position

Partner - Anda is a Corporate M&A Partner of D&B David si Baias, heading the corporate and transaction support practice. She is part of the leadership of the integrated PwC-D&B Deals team and she also coordinates the tax and legal Deals team of PwC and D&B.

Anda Rojanschi is experienced in the negotiation and structuring of complex corporate and real estate deals, coordinating legal due diligence work in various fields such as energy, industrial products, real estate, retail and distribution of consumer goods; advising and assisting clients during negotiations and on all transactions-related matters, up to a successful closing. Anda has assisted clients both on the sell-side and on the buy-side. Anda has a high level of expertise in corporate law. She has coordinated numerous restructuring projects (including mergers and spin-offs, as well as post-acquisition integration processes), establishment of joint-ventures and companies, structuring partnerships and drafting management contracts. Anda has also provided legal advice to multinational and local clients in relation to corporate law, employment law matters (being experienced in individual and collective lay-offs and in negotiating with unions and employees representatives) and regarding environmental law regulations. Anda has significant experience in energy regulations and media regulations.

In addition, Anda is co-lecturer for M&A classes with the University Babes Bolyai in Cluj-Napoca, Romania. She is a speaker at public events and publishes articles focused on M&A topics.

D&B David si Baias SCA is headed by Anda Rojanschi and Sorin DavidĀ Ā and handles a wide range of commercial and M&A mandates. The team is well regarded by Romanian entrepreneurs for its advice on business sales to strategic and financial investors and recently acted for Farmexim's shareholders in the sale of their shares to Phoenix Pharmahandel. On the acquisition front, Rojanschi assisted Voici La Mode with acquiring three Marks & Spencer stores, which saw the client becoming the new holder of the Romanian M&S franchise.

Tax

Within: Tax

D&B David si Baias SCAĀ represented Grup Servicii Petroliere in the Supreme Court of Justice, successfully obtaining the suspension of a tax assessment decision totalling ā‚¬30m. The team also assisted Yazaki Europe with the annulment of several tax decisions that rejected the clientā€™s right to interest under late reimbursements of VAT. Dan DascăluĀ and Anda RojanschiĀ head the practice and specialise in tax-related litigation and M&A work, respectively. Areas of expertise include VAT, profit tax, transfer pricing, social contributions, excise duty and environmental tax issues. Ana-Maria IordacheĀ is also singled out.
