Andrzej’s extensive experience derives from many years’ work on the most high-profile and innovative M&A projects, such as the very first cases of privatisation of state enterprises and state-owned banks or the creation of the first joint ventures in post-transformation Poland. He also assisted in a number of international restructuring and distressed M&A transactions, including the first successful attempt to restructure high-yield debt in Poland (i.e. the restructuring of NETIA group), and advises clients in state aid matters.

Andrzej holds the degree of doktor habilitowany in law and is a former visiting lecturer at Trinity College Oxford, one of the world’s oldest universities, and a former lecturer of Adam Mickiewicz University in Poznań. He is currently engaged as a professor at the Faculty of Law at the University of Social Sciences and Humanities in Warsaw.
WKB Wiercinski, Kwiecinski, Baehr‘s team is instructed by domestic and foreign lenders, debtors and acquirers of distressed assets on Polish and cross-border restructuring and insolvency issues. The group has experience in insolvency proceedings, debt restructurings, standstills and out-of-court restructurings, as well as pre-bankruptcy arrangements. Insolvency specialist Andrzej Wierciński leads the practice and is experienced in high-profile restructurings. Marcin Smolarek is a banking and finance expert, who regularly provides pre-litigation advice to financial institutions in relation to debt restructuring. Corporate specialist Jakub Jedrzejak assists with distressed M&A transactions.
WKB Wiercinski, Kwiecinski, Baehr has strong links with international firms and it often acts as Polish counsel on large cross-border deals. The group draws on the firm’s labour, tax, IP and insurance departments to provide a full service on all aspects of transactions. The department is jointly led by Andrzej Wierciński, who is a veteran of M&A, privatisations and corporate restructurings, and Jakub Jedrzejak. Australian-qualified practitioner Ben Davey focuses on institutional investment transactions, while Anna Wojciechowska leads on company law and corporate governance matters. Counsel Krzysztof Wawrzyniak is developing a practice involving the Polish law on associations and foundations.
