Position

Mr. Tuncel is a partner in the Corporate and M&A and Energy practice groups of Hergüner Bilgen Özeke, generally advising as the lead transactional counsel for cross-border mergers and acquisitions and joint ventures. Mr. Tuncel worked on some of the landmark cross border energy, mergers and acquisitions and joint venture projects, acting at various times for both the buy-side and the sell-side. His primary industrial focus has been in manufacturing, e-commerce, energy, and life sciences, and he generally serves as the lead transactional counsel for cross-border mergers and acquisitions and joint ventures. He also focuses on major energy development projects such as cross-border pipelines, renewables, and electricity generation facilities. Mr. Tuncel’s experience in the field of energy concerns every phase of an energy investment, from project development through the transfer of the investment or decommissioning, where his insight into the regulatory framework governing the energy market and its environmental impact makes a substantial difference.

Career

Having come to the firm in 2009, Mr. Tuncel was seconded to the Tokyo office of Japanese legal giant Mori Hamada Matsumoto in 2014. Afterwards he served as a managing associate in the corporate practice group before being promoted to partner in 2016.

Mr. Tuncel is a member of the Istanbul Bar Association and the Harvard Law School Alumni Association; he is a member of the Supervisory Board of the Istanbul chapter of the International Law Institute (ILI); and he is a member of the Editorial Board of the Turkish Commercial Law Review.

Education

Mr. Tuncel received his Bachelor of Laws from Istanbul University School of Law in 2001, a Master of Laws from Istanbul Bilgi University School of Law in 2006, and another Master of Laws from Harvard Law School in 2009.

Hergüner Bilgen Özeke advises on project finance and the banking and M&A side of the energy market. Other areas of expertise include cross-border transactions and regulatory advice in the nuclear, oil and gas, mining, natural gas and electricity sectors. In a recent highlight it advised Akbank on the drafting of loan agreements and preparation of a Turkish law security document package in relation to a €30m solar energy plant financing. Other clients include Baku-Tbilisi-Ceyhan (BTC) Pipeline Company and South Stream Transport. Ümit Hergüner and Deniz Tuncel head the team.

Hergüner Bilgen Özeke is adept at handling PPP projects, build-transfer-operate (BOT) projects and build-lease-transfer (BLT) projects. It represents lenders and borrowers from various sectors including healthcare, education, infrastructure and energy. A highlight was representing Tümad in relation to the $210m financing obtained from EBRD, Ziraat Bankası and Akbank for the the construction, development, and operation of Tümad’s gold mines in Lapseki and Ivrindi. Other clients include Finansbank, South Stream Transport and Baku-Tbilisi-Ceyhan Pipeline Company. Aslı Budak, Senem Denktaş, Ümit Hergüner and Deniz Tuncel are the key practitioners.
