We are an experienced, passionate legal team that specialises in all aspects of corporate, commercial, competition, financial regulatory and data privacy law.  KPMG Legal Services forms part of an integrated, multi-disciplinary model within KPMG‚Äôs Tax and Legal, and Advisory business units. This has been proven to add significant value to our clients, in terms of both deliverables and efficiencies within projects.

As an integrated legal services practice, we operate both as a ‚Äėstand-alone‚ÄĚ legal practice and as part of a multi-disciplinary organisation, through which our attorneys are able to seamlessly leverage off various other areas of expertise within KPMG, including Corporate Finance, Advisory, Audit, Financial Risk Management, Forensics, Technology Advisory and Tax (including Corporate Tax, Indirect Tax and International Tax).

Areas of practice

Corporate Commercial, M&A, Restructures and Reorganisations - KPMG Legal Services regularly assists clients in drafting and reviewing commercial agreements, undertaking legal due diligences, advising on inward investments, restructuring / structuring of business entities, structuring and advising on employee incentive schemes and group rationalisations.

The team has a strong reputation in the M&A space with experience in large local and international mergers in a wide range of sectors.  Our experience includes mergers in the banking, courier/freight service, steel, insurance, packaging, farming and construction sectors.

KPMG Legal Services recently assisted one of South Africa‚Äôs biggest and most successful financial services groups in its legal entity rationalisation project.  We also regularly advise on black economic empowerment matters and the introduction of black economic empowerment shareholders to existing businesses. In this regard, KPMG Legal Services has often assisted clients in respect of the preparation of the required legal documentation for the establishment of black empowered shareholding structures. Gordon Richardson, Heather Ashe and Tamsyn Mountjoy have strong M&A and black economic empowerment transaction experience and are key members of KPMG Legal Services‚Äô M&A team.

Competition Law Regulatory - KPMG Legal Services provides a broad range of competition law services which includes the drafting of and assistance with merger filings to the Competition Commission, general competition law compliance, dawn raid support and the provision of competition law assistance to clients who face investigations by the Competition Commission.

Our experience includes the conducting of extensive competition law compliance audits on the business operations of clients, reporting on our findings, recommending remedial steps, drafting competition law compliance policies and presenting competition law training to management and staff.

The senior members of the KPMG Legal Services competition law team are Anton de Bruyn and Nikki Pennel who both have extensive experience in the rendering of competition law services to clients.

Financial Services Regulatory - Our Financial Services Regulatory team, led by Finn Elliot, advises and supports clients on all aspects of financial services legislation and regulations impacting on financial institutions, including support to clients on their complicated regulatory change programmes.

A key focus area of our Financial Services Regulatory team is providing support to clients in respect of their management of Conduct Risk and the implications of the Conduct of Financial Institutions Bill. Finn is also the South African lead for the Automatic Exchange of Information: FATCA and the Common Reporting Standard.

Finn is regarded by his peers as a leading lawyer in the FS Regulatory market.  He recently led a multi-disciplinary team in the rationalization of one of South Africa‚Äôs biggest financial services groups.

Data Protection and Privacy Regulatory - The Privacy team of KPMG Legal Services regularly assists clients with the conducting of gap analyses, the implementation of remedial steps and the presentation of training both in respect of the Protection of Personal Information Act and the EU General Data Protection Regulation.  Our Privacy team also assists clients in the drafting of legal agreements as may be required from a privacy perspective.  This includes the drafting of international data protection agreements, third party agreements and privacy policies and notices.

Nikki Pennel is highly experienced in this field of law and has conducted numerous privacy gap analyses and remedial programmes at clients of the firm.
