Dispute resolution: commercial litigation Tier 1

Corporate boutique Viguié Schmidt & Associés excels at handling complex shareholder conflicts and corporate disputes. The firm is retained by French and international companies, shareholders and executives. It is notably acting for former senior executive officers of Norbert Dentressangle (now XPO Logistics Europe) in a high-profile M&A and securities dispute with Elliott Management Corporation regarding XPO Logistics' $3.5bn takeover of Norbert Dentressangle. It also reached a favourable settlement for a former CEO of Vitalia in proceedings against Blackstone. The practice also deals with high-stakes commercial litigation. The team recently oversaw Aufeminin's sale of 78.4% of its equity interest to TF1, and acted for Natixis on its joint acquisition of control of wind farms alongside General Electric. In other highlights, Viallard is currently assisting FlixBus with its response to an FCA investigation arising from a complaint filed by Transdev against SNCF on the grounds of alleged abuse of dominance, while Saint-Esteben is currently representing Johnson & Johnson in appeal proceedings before the Supreme Court of France to challenge the FCA's decision to impose fines for cartel practices. The team advises and represents our clients in connection with stock market litigations and market abuses, controls of regulated entities, in particular before jurisdictions, the Autorité des marchés financiers (French Stock Markets Authority) and competent courts of appeals.

Competition Law

The firm represents clients to secure merger control approval by the French Competition Authority and the European Commission, or to object to a proposed transaction.

The team also assists our clients to ensure compliance of their business practices with antitrust law (cartel and abuse of dominant position) and represent them before the competition authorities and courts.

More generally, the team advises our clients on all questions or project of interest from a competition law perspective, or that may imply restrictive practices.
