Ilko Stoyanov is partner with schoenherr in Bulgaria where he specialises in Corporate/M&A and oversees the competition work in relation to transactional matters. Ilko has graduated in law from the Sofia University and has LL.M. degree from Columbia University Law School where he was also an editor of the Columbia Journal of East European Law. He is a member of the bar since 2004. Ilko regularly acts for clients on multinational acquisitions and corporate restructurings. Ilko has advised the investment funds BlackPeak Capital (Bulgaria), EQT (Sweden), Advent International (USA), Harbinger Capital Partners (USA), Mezzanine Management (Austria), Revetas Capital Advisors (UK) and B2 (Norway) and a wide array of foreign corporations on deals in the telecom, technology, start-up, banking, insurance, pharmacy, energy, food and manufacturing industries. Ilko has advised on the largest by volume M&A transactions in Bulgaria in 2018 (banking and insurance) and 2019 (telecom).

Schoenherr (in cooperation with Stoyanov & Tsekova) advises on high-profile and cross-border transactions, having assisted Telenor and Société Générale as the sellers with two of the highest value deals in recent years in Bulgaria. The group is also experienced in assisting companies seeking to enter the Bulgarian market, advising international companies Smurfit Kappa and Leoni on their multimillion-euro acquisitions of local competitors. The team also counts Woodside Energy and B2 Kapital among its clients, and is headed by Alexandra Doytchinova and Ilko Stoyanov. Associate Stela Pavlova is also noted.

Licencing and registration is a core focus; the firm has advised GTS Telecom Romania on registration before the Bulgarian Communications Regulation Commission. The firm also provides guidance on competition compliance with regards to trade secrets, trade marks and intellectual property, public procurement procedures, discounts and promotions, and supply and distribution agreements. Ilko Stoyanov leads the team and Galina Petkova’s ‘detailed and clear responses’, produced in a ‘timely manner’, are appreciated by clients.
The Sofia office at Schoenherr (in cooperation with Stoyanov & Tsekova) works closely with its other teams across the region, enabling it to effectively handle cross-border deals, having notably advised Société Générale on the sale of its CEE subsidiaries in 2018 and 2019. Practice head Tsvetan Krumov advised ING Bank and Raffeisen Bank on the structuring and enforcement of security arrangements and Ilko Stoyanov is experienced in the sale of NPL portfolios. The practice also assists with acquisition financing and project refinancing, with a particular focus on structuring LMA-style loans in accordance with Bulgarian law.
