Pavlos Symeonides is a Partner practicing in the corporate and commercial department of the firm. He primarily practises in the areas of banking and secured financing, corporate and commercial law and cross border transactions, M&A and restructures.
Pavlos has considerable experience in banking and secured financing having advised numerous local and international banks and other financial institutions, syndicates of lenders as well as borrowers on several occasions in a number of multi-million financing transactions. Pavlos’ role in advising lenders is mainly focused on financing transactions in the fields of project development, real estate, infrastructure and shipping. His experience in this field spans over the drafting and/or review of loan and facility agreements, including syndicated ones, fixed and floating charges, mortgages over land, mortgages over vessels, corporate and personal guarantees, share pledge agreements, charges over bank account, assignment agreements and other security documents. He regularly issues capacity and enforceability legal opinions relating to financing transactions, carries out due diligence on borrowers and other obligors, reviews and collects the required corporate approvals, corporate documents and conditions precedent and advises on and undertakes the registration and release of charges and mortgages with the Registrar of Companies, the Land Registry and other authorities in Cyprus.
One of Pavlos’s main areas of expertise is corporate and commercial law, where he regularly advises clients on multi-jurisdictional transactions, the setting up, management and restructuring of corporate entities. In this context, he is involved with the drafting, negotiation and the implementation of share purchase agreements, shareholders’ and joint venture agreements, the carrying out of legal due diligence reviews of companies, insolvency law matters and several other corporate and commercial law issues.
He acts as the firm’s main contact person for a number of high-profile clients, including well-known multinational groups, medium-sized entities and high net worth individuals and, assisted by a team of associates and paralegals, advises the said clients and their Cyprus structures on all of their corporate law, compliance and other requirements.
