Jean-Gabriel Flandrois is a partner in Gide’s Mergers & Acquisitions /Corporate practice group. He has gained extensive experience in the coordination of cross-border transactions in Europe and the MENA region and in the acquisition and restructuring of banks and other financial institutions. In France, Jean-Gabriel is regularly advising on private equity transactions and is also involved in transactions in the FinTech sector.
Jean-Gabriel recently advised Société Générale on the sale of its subsidiary in Georgia, BNP Paribas Cardif on various transactions including the acquisition of Icare, a subsidiary of Europ Assistance, VimpelCom on the EUR 1 billion sale of its 51% holding in Orascom Telecom Algérie (Djezzy) to the Fonds National d’Investissement FNI, the Algerian National Investment Fund. He also advised German media group ProSiebenSat.1 on its acquisition of a stake in Deezer, various banks and other investors in a new “blockchain” initiative and private equity group Investindustrial on various transactions including the buy-out of Selective Beauty as part of a global financial restructuring of a private equity transaction and DFDS in connection with the sale of Eurotunnel shipping activities (SeaFrance).

The practice is well known for its work on cross-border transactions, leading on Total’s acquisition of the Energías de Portugal’s portfolio of 2.5m customers and combined cycle power plants. Olivier Diaz, who is described as an ‘excellent technician‘ leads the department, specialising in acquisitions, leveraged buyouts, joint ventures and corporate restructurings. The team has deep bench strength, with key names including Charles de Reals, Julien David, Christophe Eck and Jean-Gabriel Flandrois. It was further strengthened by the arrival of Jean-François Louit and Caroline Lan who joined from Mayer Brown in September 2019.

The practice also regularly involves co-head of practice and finance expert Eric Cartier-Millon. The team acts for various stakeholders, including shareholders, funds, debtors, lenders and commercial partners. It was recently involved in several high-profile debt restructuring matters, including assisting lenders or key shareholders in CNIM, Europacorp and Buffalo Grill’s debt restructuring proceedings. The firm has also been retained to advise on the restructuring of one of France’s biggest companies.
