RUAG acquires Saab Space

July 2008

Mannheimer Swartling has advised the Swiss company, RUAG Holding AG in its acquisition of Saab Space from Saab AB (publ). The purchase price for the shares amounts to MSEK 335. In addition to the fixed purchase price, Saab is entitled to receive additional compensation conditional upon the long-term positive performance of Saab Space. The transaction is subject to customary competition clearances.

Saab Space is a leading independent supplier of advanced space equipment such as computer systems, antennas and microwave electronics for satellites as well as adapters and separation systems for launchers. Saab Space also has a wholly-owned subsidiary in Vienna, i.e. Austrian Aerospace and this subsidiary focuses on digital signal processing, temperature control components, advanced machinery, as well as auxillary equipment for assembly and testing of satellites. 

Martin Ericsson was the partner responsible for the transaction. Isabella Ramsay acted as project manager and was principally assisted by Örjan Bengtsson, Karin Bergelin, Cecilia Stråle, Anna Schildknecht, Petter Åkerlund, Andreas Lööf , Victoria Bagger-Sjöbäck (M&A and due diligence), Andreas Stéen (IT and separation issues), Kerstin Kamp-Wigforss, Maria Henningsson (labour law) and Andreas Blomquist (competition law). RUAG was also assisted by its Swiss counsel, Kellerhals Hess and by Wolf Theiss in Austria.

Jürgen Busch was responsible for the merger filing in Germany, mainly assisted by Meike Johnsen. Per Josefson was responsible for the intellectual property elements of the transaction and was assisted by Claudia Wallman, Jens Gyllenberg and Oscar Björkman.
