Manual for applying the Swedish Corporate Governance Code – 2011 edition available

The manual addresses the Swedish Corporate Governance Code applicable from 1 February 2010, taking into consideration the three instructions issued by the Swedish Corporate Governance Board during 2010. The manual has been prepared by Mannheimer Swartling Advokatbyrå in co-operation with, and at the request of, AB Electrolux, AB Industrivärden, AB SKF, AB Volvo, Atlas Copco AB, Holmen AB, NCC AB, SAAB AB, Sandvik AB, Scania AB, Skanska AB, SSAB AB, Svenska Cellulosa Aktiebolaget SCA, Swedish Match AB and Telefonaktiebolaget L M Ericsson.

It is considered good stock market practice for Swedish companies whose shares are admitted to trading on a regulated market in Sweden, i.e. on NASDAQ OMX Stockholm or NGM Equity, to apply the Swedish Corporate Governance Code. Since 2005, a manual has been issued with the intent to provide guidance when applying the Code.

The manual contains comparisons with current law and alternative interpretations and actions in the various contexts in which the application of the Code is relevant, and is intended to be of assistance to company boards, nominating committees, management functions and shareholders as well as for their advisors and other interested parties.
