Managing Partner Clemens Hasenauer is Head of Department Corporate Transactions since 2007, specialising in M&A, public takeover transactions, banking and finance, reorganisations and restructurings. He is particularly renowned for structuring large international joint ventures and public takeovers. Clemens regularly advises on Austria’s most prominent M&A deals, e.g. advising Vienna-listed OMV AG in connection with the acquisition of an additional 39% stake in Borealis AG from Mubadala group for a purchase price of approx USD 4.7 billion, and XXX Lutz Group, one of the world’s largest furniture retailers, in connection with the acquisition of Conforama France and the purchase of 22 furniture stores located throughout CEE. Clemens is a university lecturer and author of numerous publications.

M&A-heavyweight Cerha Hempel advises on all aspects of corporate and commercial law with particular sector expertise in oil and gas, real estate and technology. The practice has a top-notch reputation for large-volume transactions, where it appears as international coordinating counsel more often than not. The team is jointly headed by corporate expert Clemens Hasenauer, head of public law Hans Kristoferitsch and Peter Vcelouch, who covers construction. The group advises on energy, infrastructure and electronic tolling matters as well as M&A and real estate projects. The team is also equipped to represent clients in projects-related disputes.

Cerha Hempel‘s team is co-led by Edith Hlawati, who also heads the firm’s banking and corporate finance team, and Clemens Hasenauer, head of corporate transactions, which reflects the team’s cross-departmental capabilities and wide-ranging expertise spanning DCM and ECM. Recently, the practice has been particularly active in the former, assisting issuers with the issuance of bonds and advising banks on bond issuance programmes and various regulatory matters. Volker Glas, who represents issuers and underwriters, is another key member of the team. He handles debt and equity capital markets transactions as well as structured finance transactions and other associated transactional and finance matters, while Thomas Zivny is a key contact for corporate bonds and bank issuance programmes. Christian Aichinger, who was promoted to senior counsel in 2020, handles a wide range of capital markets, finance and corporate matters.
