DSK Legal assisted and advised\u00a0Triology Solutions Private Limited\u00a0(\u201cTSPL\u201d) and its promoters in relation to the transfer and sale the TSPL\u2019s business of manufacturing, developing, designing, marketing, distribution, sale, retail and trading of men\u2019s grooming and skin care products under the brand name \u2018Muuchstac\u2019 to\u00a0Godrej Consumer Products Limited, a public company incorporated under the provisions of Companies Act 1956, and listed on the Bombay Stock Exchange Limited and the National Stock Exchange of India (\u201cGCPL\u201d) by way of a slump sale on a going concern basis (\u201cTransaction\u201d).<\/strong><\/p>\n

The brand \u201cMuuchstac<\/b>\u201d is one of the India\u2019s fastest-growing men\u2019s grooming brands with a strong leadership position in the men\u2019s facewash segment. This acquisition marks a strategic step in GCPL\u2019s journey to strengthen its Personal Care portfolio and expand its footprint in high-growth, high-margin categories.<\/p>\n

The scope of work of DSK Legal included: (a) reviewing, revising, negotiating and finalizing the business transfer agreement (\u201cBTA<\/b>\u201d), and other transaction documents such as (i) the promoter consultancy agreement, (ii) the distribution agreement, (iii) the intellectual property assignment agreement and other ancillary agreements under the BTA; and (b)\u00a0<\/i><\/b>assisting with achieving closing of the Transaction.<\/p>\n

Deal value: ~ INR 450 crores (approximately) with the payment being made in two tranches.<\/b><\/p>\n
