On 20 March 2025, Anatom Holding AG and other separate entities, all owned by different members of the Kahane family, entered into agreements to acquire class A shares and class B shares in BioGaia AB from Annwall & Rothschild Investments AB, another member of the Rothschild family and David Dangoor (BioGaia\u2019s Vice Chairman).<\/strong><\/p>\n

The transaction is conditional on the approval by the Swedish Inspectorate of Strategic Products. Before completion, certain class A shares sold under the transaction shall be converted into class B shares based on a conversion clause which will be introduced to BioGaia\u2019s articles of association after approval at BioGaia\u2019s upcoming annual general meeting. After completion of the transaction, Anatom will own 7.3 per cent of the shares and 18.7 per cent of the votes in BioGaia. The other acquiring entities will own 3.7 per cent of the shares and 9.3 per cent of the votes in BioGaia. BioGaia\u2019s class B shares are listed on Nasdaq Stockholm.<\/p>\n
