{"id":47636,"date":"2025-03-21T13:21:57","date_gmt":"2025-03-21T13:21:57","guid":{"rendered":"https:\/\/my.legal500.com\/developments\/?post_type=press_releases&#038;p=47636"},"modified":"2025-03-21T13:21:57","modified_gmt":"2025-03-21T13:21:57","slug":"grupo-albanesi-secures-a-us-80000000-loan-for-the-refinancing-of-certain-short-term-liabilities-due-2025","status":"publish","type":"press_releases","link":"https:\/\/my.legal500.com\/developments\/press-releases\/grupo-albanesi-secures-a-us-80000000-loan-for-the-refinancing-of-certain-short-term-liabilities-due-2025\/","title":{"rendered":"Grupo Albanesi secures a us$ 80,000,000 loan for the refinancing of certain short-term liabilities due 2025"},"content":{"rendered":"<p><strong>Tavarone Rovelli Salim Miani TRSM advised Grupo Albanesi (Generaci\u00f3n Mediterr\u00e1nea S.A., Central T\u00e9rmica Roca S.A. and Albanesi Energ\u00eda S.A.), and Bruchou &amp; Funes de Rioja advised the Arranger, the\u00a0 Security Agent and the Lenders, in the granting of a syndicated loan for a committed amount of US$ 59,000,000 and a m\u00e1ximum amount of US$ 80,000,000 (the \u201cLoan\u201d), entered into by Generaci\u00f3n Mediterr\u00e1nea S.A., Central T\u00e9rmica Roca S.A., as borrowers, Albanesi Energ\u00eda S.A., as guarantor, and\u00a0 Banco Hipotecario S.A. as arranger, lender and administrative agent (the \u201cArranger\u201d), Banco de Galicia y Buenos Aires S.A.U., as security agent and lender (the \u201cSecurity Agent\u201d), and Banco Supervielle S.A., Banco Santander Argentina S.A., Banco de la Provincia de C\u00f3rdoba S.A., Banco de la Ciudad de Buenos Aires, Banco de Servicios y Transacciones S.A., and Banco de la Provincia de Buenos Aires (collectively with the Arranger and the Security Agent, the \u201cLenders\u201d).<\/strong><\/p>\n<p><!--more--><\/p>\n<p>The Loan, entered into on January 21, 2025, was partially disbursed by the Lenders on such date, and the funds will be applied to the repayment of the certain short-term liabilities due 2025.<\/p>\n<p>The Loan has a grace period of 12 months, matures in January, 2027, and is secured by a pledge and assignment of its collection rights under certain PPAs (Power Purchase Agreements) of Generaci\u00f3n Mediterr\u00e1nea S.A. and Central T\u00e9rmica Roca S.A., and by a guarantee provided by Albanesi Energ\u00eda S.A.<\/p>\n<p>Consequently, Grupo Albanesi will obtain the necessary funding to continue its process of improving its long-term debt profile and strengthening its financial position.<\/p>\n<p><strong>Grupo Albanesi<\/strong> was advised internally by its in-house counsel, Mercedes Cabello.<\/p>\n<p><strong>Tavarone Rovelli Salim Miani (TRSM)<\/strong> acted as external legal counsel to Grupo Albanesi (Generaci\u00f3n Mediterr\u00e1nea S.A., Central T\u00e9rmica Roca S.A., and Albanesi Energ\u00eda S.A.) through its team led by partners Marcelo R. Tavarone, Francisco Molina Portela, and associates Ximena Sumaria, Eduardo N.
