The Bonds are irrevocably guaranteed on a subordinated basis by Swiss Life AG and Swiss Life Holding AG.<\/p>\n<p>Homburger advised the Joint-Lead Managers (UBS Investment Bank, Deutsche Bank AG, J.P.
