What you need to know regarding Real Beneficiary Statement for Companies in Romania

Starting with April 30, 2021, the obligation to submit the Real Beneficiary Statement for the limited liability companies in Romania was reintroduced, and the term was extended until October 1, 2021.

Even though Law 108/2020 provided that certain types of entities were exempted from submitting the Real Beneficiary Statement in Romania, it is good to know that  Law 102/2021 provides that this obligation has been reincluded to all categories of entities in Romania, starting April 30, 2021. Legal entities from Romania consisting only of natural persons have been exempted from the submission of the statement, when they are the only real beneficiaries.

By GEO no. 43/2021 published in the Official Gazette no. 561/31.05.2021, effective from 31.05.2021, the deadline for the submission of the annual real beneficiary statement in Romania by all categories of entities has been extended until October 1, 2021.

After October 1, 2021, the annual declaration must be submitted to the Trade Registry in Romania within 15 days from the submission of the annual financial statements, and if there is a change in the identification data of the real beneficiary, the declaration must be submitted within 15 days from the moment such change occurred.

According to the provisions of art. 2 of GEO no. 191/2020 for the extension of the deadlines for the submission of real beneficiary statement in Romania, for a period of 90 days from the date of termination of the alert, the statements regarding the real beneficiary may take the form of private signature document or electronic form and can be sent to the Trade Registry by electronic means, with electronic signature or by postal and courier services.
