Baker McKenzie has a strong transactional team recommended for its ‘depth of analyses. Rodrigo Ogea heads the Madrid practice and Esteban Raventós leads the Barcelona department. The firm has recently been involved in tax structuring and reorganisations for multinationals; Luis Briones advises on international tax planning and Rubén Lago handles tax restructuring. Clients include Inditex, Marriott International and Mercedes-Benz.

Alejandro Escoda leads the well-respected team at Cuatrecasas. The group has significant experience in the tax aspects of international reorganisations and M&A; Carlos Ferrer is advising Qualitas Equity Partners on a management buyout backed by Intermediate Capital Group. The firm is also assisting The Dow Chemical Company with all Spanish tax matters relating to its merger with DuPont. Senior associate Agnès Granés advises on tax planning with respect to restructuring.

Garrigues’ team acts on the tax aspects of significant M&A deals and stands out for its ‘technical knowledge’ and ‘practical’ advice. Practice head Eduardo Abad recently assisted Prosegur Cash with tax restructuring issues concerning its listing. Ricardo Gómez has expertise in group reorganisations and international deal tax structuring. The firm is also strong in state aid tax cases and tax litigation.

Uría Menéndez has a strong commercial tax team with an international focus. Rafael Fuster leads the team, which works directly with its M&A and private equity practices. Víctor Viana advised Goldman Sachs and Metrovacesa on the tax aspects of €600m and €9.5bn deals respectively. Senior associate Roberto Medrano assisted Isolux Corsán with the tax aspects of its €2.5bn debt restructuring.

Allen & Overy stands out for its ‘industry and transaction knowledge’ in tax matters relating to M&A and refinancing. ‘Efficient and achievement-oriented’ Adolfo Zunzunegui now heads the team, having recently joined from EY Abogados; he is widely recognised as a leader in the market. Highlights included advising Barclays on Santander’s €1.5bn senior non-preferred bonds, the first issuing of this type of bond by a Spanish bank.

At Ashurst LLP, Eduardo Gracia, who is now head of tax for EMEA and the USA, is the name to note. The team provides ‘exceptional service’ and is strong on tax planning and transactional work, especially in the real estate sector where clients include Merlin Properties and Feel Hotels. Highlights included assisting Elliott Advisors (UK) with the tax aspects of the €230m acquisition of life insurer Mediterraneo Vida and advising Chequers Capital on the tax-related issues of the sale of Accelya Group to American fund Warburg Pincus. The firm is also experienced in tax disputes and litigation.

At Clifford Chance, ‘efficient and straightforward’ practice head Pablo Serrano de Haro is advising White Summit Capital and Covalis Capital on tax matters relating to the acquisition of Naturgas. Other highlights include assisting Blackstone Group with tax structuring.

Freshfields Bruckhaus Deringer’s practice focuses on tax matters pertaining to private equity and finance. ‘Truly exceptional’ Silvia Paternain is leading advice to Canada Pension Plan Investment Board on the tax aspects of its investment in Gas Natural Distribución. The firm is also strong in the healthcare sector; counsel Bosco Montejo recently assisted Fresenius and its subsidiary Helios Kliniken with tax matters relating to its leveraged buyout of Spain’s largest private hospital operator Quirónsalud from CVC.

Linklaters’ team has ‘deep knowledge of the latest market developments’ and extensive experience in the tax aspects of capital market transactions and restructurings. Javier García-Pita recently led advice to a consortium of investors on tax matters relating to the acquisition of Naturgas and assisted Centerbridge with the sale of Vela Energy to Sonnedix. María Cortizas, formerly a consultant with the firm, joined Dentons as a partner in 2019.

Gómez-Acebo & Pombo’s practice provides full-service tax support, covering transactions, planning and contentious tax. The group also has notable expertise assisting high-net-worth families with wealth planning issues. The firm recently acted for a consortium of Canadian pension plans in all aspects of tax litigation. Practice head Enrique Ortega stands out for his ‘practical problem-solving approach’.

Herbert Smith Freehills LLP’s team is commended for its ‘excellent attention to detail and technical expertise’. Led by of counsel Marta Esteban, the group advises on transactional and advisory work as well as handling domestic and international tax planning matters. It recently assisted asset manager First State Investments with tax issues arising from its acquisition of Parkia.

Latham & Watkins LLP has expertise in complex tax planning and structuring, and the tax aspects of cross-border M&A and capital markets matters. Practice head Jordi Domínguez recently advised Global Infrastructure Partners on the tax aspects of its acquisition of Gas Natural.

Pérez-Llorca has grown its transactional tax team through the arrival of Norma Peña from Clifford Chance, who is now the key name in the firm’s Barcelona office for tax matters. Madrid practice head Clara Jiménez advised Mohari on all tax aspects of its acquisition of a 50% stake in Centro Canalejas Madrid. The team has a solid reputation in tax audit procedures and tax litigation.

RCD - Rousaud Costas Duran has a full-service tax practice; it has a strong contentious offering and advises on restructurings and wealth management across a range of sectors, including sports. Name partner José María Durán leads on the wealth management side and Jorge Sarró heads the tax practice. The firm is adept at advising multinationals on national and international tax regimes in cross-border transactions.

CMS Albiñana y Suárez de Lezo covers all areas of tax advisory from general corporate taxation to international tax and restructuring and planning. Led by Diego de Miguel, who has ‘solid knowledge’ of the tax system, the team regularly advises on tax structuring; it recently advised on the tax-efficient acquisition of a large real estate portfolio.

DLA Piper LLP advises multinationals on tax restructurings and reorganisations; the team is also experienced in tax investigations and litigation. Carlos Rodríguez recently assisted Japanese e-commerce firm Rakuten with the tax aspects of its sponsorship of FC Barcelona.

GTA Villamagna Abogados is a key name for tax disputes; practice head Felipe Alonso is a well-known tax litigator. The team is also strong on tax planning, where it has ‘deep insight and can foresee trends in the industry’. The practice also has particular experience in wealth management across various sectors, including real estate, shipping and tourism.

Hogan Lovells International LLP’s team stands out for its skill in ‘solving needs as cost-efficiently as possible’. Miguel Ángel Sánchez is leading advice to Bankinter on tax lease structures for the €97m financing of the construction of vessels. The ‘practicalJavier Gazulla is recommended for M&A tax matters; he recently assisted Barings (formerly Cornerstone) Real Estate Advisers with the acquisition of a €21.6m retail unit.

King & Wood Mallesons assists with the tax structuring of national and international private equity funds and also has experience in the sports sector, particularly with tax planning. Alberto Ruano recently advised real estate investment firm Muscari Property on the tax structuring aspects of its €400m acquisition of Torre Cepsa from Bankia.

Araoz & Rueda stands out for its ‘rigorous and responsive service that provides value for money’. Javier Prieto recently advised Orpea on its €150m acquisition of Spanish nursing home group Sanyres.

Broseta Abogados has particular expertise in wealth management, tax litigation and international tax planning. Carlos Diéguez heads the tax team and Luis Trigo is the key contact for wealth management. Clients include Ford and Baleària.

Dentons’ practice is focused on transactional tax advice and debt trades and is strong in the real estate sector. José Ramón Vizcaino recently advised Oaktree Capital on the tax aspects of the acquisition of distressed debt portfolios. María Cortizas was a new arrival from Linklaters in 2019.

Eversheds Sutherland Nicea has strength in the tax-related aspects of real estate matters and M&A. Enrique López de Ceballos heads the wealth management group and Antonio Cuéllar leads on corporate taxation. The firm recently advised Rockspring on the tax aspects of the sale of a portfolio of supermarkets to real estate group Lar España.

Ramón y Cajal Abogados’ team stands out for ‘partner involvement and providing value for money’. Luis Rodríguez-Ramos leads on tax structuring and transactional advice and Andrés Jiménez is the key name for tax disputes. Highlights included advising developer Monthisa on the tax aspects of its acquisition of premises from El Corte Inglés.
