Allen & Overy houses a strong capital markets team, which advises issuers and underwriters on the full spectrum of work, including transactional matters, equity-linked instruments, high-yield and hybrid capital among others. It advised Lone Star on Neinor Homes’ IPO in the sum of €2bn and is assisting global telecoms corporation Telxius on its proposed IPO. Fernando Torrente, Charles Poole-Warren, Juan Hormaechea, Salvador Ruiz Bachs and Iñigo del Val lead the 15-strong team.

The very professional and knowledgeable capital markets team’ at Clifford Chance has long-standing experience handling equity matters. The group was instructed by Testa Residencial SOCIMI on a non-monetary share capital increase in the amount of €660m. Other clients include Más Móvil, Banco Santander and Blackstone. José Manuel Cuenca leads the team with Yolanda Azanza and Javier García de Enterría also notable practitioners.

Cuatrecasas fields one of the largest specialised teams in Spain. Highlights included advising Gestamp Automoción on corporate governance matters connected to its flotation on the stock exchange, which included handling all steps prior to its admission, and acting for Morgan Stanley on Unicaja Banco’s IPO. Juan Aguayo and Pere Kirchner lead the practice and José Luis Rodríguez is also noted.

Freshfields Bruckhaus Deringer handles a wide variety of equity transactions, including primary and secondary offerings. The firm is regularly instructed by local and international corporations to advise on big-ticket capital market deals. Practice head Armando Albarrán and Ana López led advice to Warburg Pincus on the capital markets elements pertaining to the acquisition and financing of Accelya. Joe Amann and Alfonso de Marcos are also noted.

Garrigues’ capital markets practice, which is part of its corporate department, advised Prosegur and its spin-off, Prosegur Cash, on all aspects of the latter’s IPO, including handling due diligence and corporate governance issues, the prospectus and listing process. Other work included acting for Gestamp Automoción on its €3.2bn IPO. Álvaro López-Jorrín and Mónica Martín lead the team. Fernando Vives and Gonzalo García-Fuertes are also recommended.

Linklaters’ team is praised for its ‘responsiveness, commitment and knowledge of the sector’. Highlights included advising UBS, as global coordinator, bookrunner and underwriter, on Banco Santander’s capital increase via a rights issue (intended for the acquisition of Banco Popular); the team also assisted Credit Suisse Securities (as global coordinator and bookrunner) on the €780m initial offering of 60% of the share capital in Neinor Homes. Iñigo Berricano, Federico Briano and Jorge Alegre are recommended. Associate Juan María Lamo is also noted.

A ‘major player in the Spanish capital markets arena’, Uría Menéndez acted for Banco Santander on its rights of issue subsequent to the purchase of Banco Popular, in a €7.1bn operation. Managing partner Luis de Carlos and Javier Redonet head the practice; Gabriel Núñez and Alfonso Ventoso are also key names.

CMS Albiñana y Suárez de Lezo has a strong reputation for advising local and international clients, including several Ibex 35 corporations, on a variety of complex capital market operations. The firm was instructed by Telefónica to assist with its affiliate corporation Telxius’ proposed IPO. Other clients include Sociéte Générale España, Deutsche Bank and Vall Banc. Carlos Peña and Curra Munuera are the key names.

Gómez-Acebo & Pombo’s team advises local and international clients on areas such as IPOs, rights issues, accelerated book-build offerings, listings and share buy-backs, among other matters. It is advising on all preliminary capital markets steps pertaining to a potential takeover bid for listed company Abertis Infraestructuras, and is assitsing Spanish media conglomerate Prisa with the sale of its 94% interest in Portuguese corporation Grupo Media Capital to Altice in a €450m operation, which included advising on the terms and conditions of the purchaser’s public offer for shares. Santiago Gómez-Acebo, Miguel Lamo de Espinosa, Guillermo Guerra and Àngel Varela are the key names.

Latham & Watkins LLP’s ‘organised’ team has acted for JP Morgan, Morgan Stanley, Banco Santander, BBVA, CaixaBank and UBS, as the underwriters, on Telefónica’s rights issue to fund the purchase of Brazilian broadband company GVT. Ignacio Pallarés and Manuel Deó are noted for their expertise. Ignacio Gómez-Sancha, who was previously head of capital markets at DLA Piper LLP, joined the firm.

Pérez-Llorca is adept at advising on regulatory capital markets work, handling IPOs and assisting with takeover bids.. Javier Carvajal, Pablo González and Julio Lujambio are the leading names.

White & Case LLP’s lawyers have vast expertise in UK, US and Spanish capital markets law. A team led by Yoko Takagi and José Manuel de Remedios acted for Citigroup, Goldman Sachs and others, as the joint global coordinators, on the IPO of Prosegur Cash. José Blanco, who was previously head of capital markets at Herbert Smith Freehills LLP, joined the firm.

Baker McKenzie advised FCC on a rights issue in the sum of €710m in one of the largest equity deals in Spain in 2016. Enrique Carretero and associate Ignacio Corujo are the names to note.

DLA Piper LLP regularly advises on complex capital market transactions by major players and financial sponsors, including CVC Capital, Morgan Stanley and Banco Santander. The team acted for Springwater Capital on its IPO of shares in Aernnova Aerospace in the sum of €900m. Iñigo Gómez-Jordana is recommended.

Herbert Smith Freehills LLP works for corporations, investment banks and other financial institutions on a variety of capital markets instructions with notable emphasis on energy, financial services, infrastructure and private equity. Álvaro Sainz advised Itos Holding (as selling shareholder) on the accelerated bookbuild offering of over 2.9% of the share capital of Banco Sabadell in the sum of €202m.
