Amendments regarding the Trade Registry

Government Emergency Ordinance no. 116/29.12.2009 (the “Ordinance”) for establishing certain measures with regards to the activities of registration in the Trade Registry was published in the Romanian Official Gazette no. 926/30.12.2009.

The purpose of the Ordinance is to remedy the existing deadlock at the Trade Register Offices (in particular at the Bucharest Trade Registry, where the hearings for files submitted at the end of 2009 were set for 2011). To this end, as per Article 1 of the Ordinance, the jurisdiction to settle applications for incorporations in the trade registry and, where appropriate, other applications which are currently under the jurisdiction of the delegated judge, belongs to the Director of the Trade Registry Office attached to the local court (and/or to the person(s) expressly designated by him in this respect).

Consequently, most of the files will no longer be initially settled by the delegated judge (with the exception of dissolutions, sticking-offs, mergers - including cross-border mergers - and divisions).

The Ordinance shall enter into force on 14.01.2010 and shall remain valid and effective for a period of maximum 6 months (period in which the Government shall adopt, at the proposal of the Ministry of Justice, the law regarding the commercial registerers).


Amendments to the Methodological Norms regarding the application of the Tax Code

Government Decision no. 1620/02.12.2009 for the amendment and completion of the Methodological Norms for the application of Law 571/2003 regarding the Tax Code, as approved by Government Decision no. 44/2004, was published in the Romanian Official Gazette no. 927/31.12.2009.
