Gatti Pavesi Bianchi Studio Legale Associato advises on cross-border and international M&A, de-mergers, disposals of businesses and interests and restructurings as well as joint ventures and strategic investments. Stefano Valerio led advice to Alpitour on the acquisition, through a Newco, of the tour operator business of EdenViaggi; and Franco Barucci  assisted Prima Holding and Zephyro with the sale of a majority stake in Zephyro to Edison, which acted through its subsidiary Fenice. Additional highlights include Francesco Gatti assisting Manutencoop Società Cooperativa with the acquisition, through its subsidiary CMF, of an approximate 33 per cent stake in Manutencoop Facility Management and Carlo Pavesi acting for Banca Popolare di Sondrio on the acquisition of PrestiNuova. Latham & Watkins LLP¬†is regularly¬†involved in major market transactions.¬†Stefano Sciolla¬†is local corporate practice¬†chair; together with¬†Giovanni Sandicchi¬†and¬†Antonio Coletti¬†as well as the firm's London and Brussels offices, Sciolla advised¬†Global Infrastructure Partners, a global, independent infrastructure investor, on the ‚ā¨2.4bn acquisition of Italian railway operator Italo - Nuovo Trasporto Viaggiatori. In other highlights, the team assisted¬†Bain Capital with the acquisition of a majority stake in Fedrigoni, which produces fine paper for printing, editing, labels, bookbinding, packaging and paper products.¬†Maria Cristina Storchi¬†and¬†Cataldo Piccarreta¬†are also key advisers;¬†Giancarlo D‚ÄôAmbrosio¬†was made partner.

Legance - Avvocati Associati's practice covers acquisitions, mergers, takeovers, shareholder and voting agreements, and joint ventures. Filippo Troisi, who leads the corporate finance department, acted for Banco BPM on the sale of asset management business Aletti Gestielle to Anima Holding; Giorgio Vanzanelli advised Sonatrach on the acquisition of a refinery in Sicily; and Bruno Bartocci acted for GTCR on the Italian law aspects of the acquisition of Albany Molecular Research. Other highly rated practitioners are Gabriele Capecchi, who heads the real estate department and Gian Paolo Tagariello, who is particularly focused on the insurance, banking and financial sectors, along with Alberto Giampieri, Giovanni Nardulli,  Andrea Fedi and Cecilia Carrara. Federica Pomero was promoted to the partnership in 2019. Linklaters advises clients from sectors such as financial institutions, private equity, real estate, infrastructure, energy, retail, luxury and telecoms. It acted for Clessidra on the acquisition of Gruppo Scrigno, a manufacturer and distributor of counter-frames for pocket doors and windows; and advised Intesa Sanpaolo on the acquisition of a majority stake of Morval Vonwiller Holding. Significant growth saw the firm hire Roberto Casati, who has extensive experience in Italian and cross-border public and private M&A as well as joint ventures, from Cleary Gottlieb Steen & Hamilton LLP. Giovanni Pedersoli heads the mainstream corporate practice in Milan, Giorgio Fantacchiotti leads the private equity group and Pietro Belloni is a corporate and commercial law specialist. Marta Sassella was promoted to counsel and Anna Gagliardi is an experienced managing associate.

Pedersoli Studio Legale's 'outstanding practice has strong problem-solving skills'. It has been particularly active in bank-related transactions as well as general financial sector deals and media and publishing-related matters. The firm has also been growing its China practice; Antonio Pedersoli advised Chinese company Hefei SARI V-Capital Management on the acquisition, from Fondazione Regionale per la Ricerca Biomedica, of a majoritystake in NMS Group, which is active in preclinical and clinical research and the production of oncology-related drugs. Other highlights saw Carlo Pedersoli assist Fimei's shareholders with the sale of their Fimei shareholding to a consortium of investment funds. Additional names to note in Milan are Alessandro Marena, Ascanio Cibrario and Luca Saraceni, while the key Turin advisers are Andrea Gandini, Carlo Re and Eugenio Barcellona. Elio Marena  is now with Grimaldi SL LLP.

Allen & Overy - Studio Legale Associato 'has expert attorneys in several areas of law, which is extremely useful when managing corporate projects'. The practice advises on complex domestic and multi-jurisdictional transactions (both public and private) as well as private equity deals across a range of sectors, including food and beverage, fashion, TMT, energy and infrastructure, real estate and manufacturing; the team has also been busy advising on transactions in the NPL sector. Highlights included assisting Playtech, a listed gambling industry company, with the acquisition of a majority stake in Italian betting company Snaitech from Global Games and OI Games. Giovanni Gazzaniga and Paolo Ghiglione co-head the corporate department in Italy, Paolo Nastasi was promoted to counsel and Antonio Ferri is a key senior associate.

Dentons is regularly involved in cross-border transactions.  Recent strategic deals include the team advising Johnson & Johnson on the Italian aspects of its global sale of business unit Codman Neurosurgery to US company Integra LifeSciences Holdings Corporation; and advice to KKR-backed Calsonic Kansei on the Italian aspects of the agreement by its holding company, CK Holdings, to acquire Magneti Marelli, the automotive components business of Fiat Chrysler Automobiles. Recommended are Alessandro Dubini, Luca Pocobelli, Pier Francesco Faggiano, of counsel Aian Abbas and Barbara Urselli, who was promoted to partner in March 2019; the China desk in Italy is co-headed by Junyi Bai, who joined from Giovannelli e Associati Studio Legale, and counsel Claudio Giammarino. Carsten Steinhauer was a new arrival in January 2019 from McDermott Will & Emery Studio Legale Associato. The corporate department has experienced an increase of instructions in the food, fashion, technology, manufacturing and energy sectors;¬†Danilo Surdi¬†assisted Italmobiliare with the acquisition of a 40% stake in privately-held Italian locks and security device manufacturer, Iseo. In other areas,¬†Goffredo Guerra¬†advised Laureate Education¬†on the Italian aspects of the sale of its Italian and Cypriot universities.¬†Wolf Michael K√ľhne's 'support is extraordinary and his knowledge is outstanding'. Freshfields Bruckhaus Deringer¬†is focused on¬†cross-border transactions and its work covers public and private M&A deals, joint ventures, corporate reorganisations and private equity investments. Luigi Verga¬†advised Cooper-Vemedi on its ‚ā¨158m acquisition of a portfolio of 12 pharmaceutical brands from Sanofi; and the 'highly reliable and competent'¬†Nicola Asti¬†led advice to a¬†consortium of Chinese investors on the acquisition of Italy's Esaote, a global manufacturer of medical diagnostic systems, from a consortium of private equity sellers.¬†Enrico Bazzano¬†is also highly rated and the senior associates to note are Luca Sponziello¬†and Federico Borgogno.

Hogan Lovells International LLP has sector experience in energy, diversified industrials, financial institutions and life sciences as well as fashion and luxury, food and beverage, automotive and TMT. Francesco Stella advised BNP Paribas Cardif on the acquisition of a majority stake in Cargeas Assicurazioni, a non-life insurance company in Italy; Luca Picone assisted the sole shareholder of Italian company L'Aromatika, a manufacturer of coffee pods, capsules, beans and coffee concentrates and extracts, with the sale of a majority stake of its corporate capital to Italmobiliare; and Leah Dunlop and Antonio Di Pasquale acted forJAB Luxury on its disposal of a controlling stake in Bally, the Swiss luxury shoe and accessories firm. Marco Rota Candiani heads the real estate practice in Italy.

Nctm Studio Legale is experienced in the small and medium-sized enterprises market; the practice also advises large and international clients on cross-border matters. Vittorio Noseda advised Electrolux Italia on the acquisition of Best, an Italian manufacturer of innovative kitchen hoods, from the US group Broan-Nutone. The practice also advised Snam on the acquisition of  Infrastructure Trasporto Gas as well as the purchase of 7.3 per cent of Terminale GNL Adriatico (Italy’s largest offshore platform for storage and regasification of natural gas) from Edison. Simone De Carli is M&A and private equity head and Sante Ricci is corporate and commercial head. The other key advisers are Paolo Montironi, Alberto Toffoletto, Matteo Trapani and Pietro Zanoni.

Orrick, Herrington & Sutcliffe has notable specialisms in deals involving energy, financial services, technology, healthcare, private equity and distressed transactions and investments. Marco Nicolini heads the corporate practice in Italy; Alessandro De Nicola advised Banca Intermobiliare di Investimenti e Gestioni on the sale of of BIM Suisse's entire share capital to Banca Zarattini & Co; and Guido Testa assisted Coorstek Medical with the sale of Nanosurfaces Industries, an Italian hip and knee implant manufacturer, to Eurocoating. Marco Dell’Antonia and Attilio Mazzilli are also highly regarded; Marco Mancino was promoted to of counsel.

Studio Professionale Associato a Baker & McKenzie's practice includes M&A transactions involving hotels and tourism, pharmaceuticals, finance, information and communication technologies and manufacturing, as well as corporate reorganisation work. Pietro Bernasconi and Raffaele Giarda advised DFDS, a Danish shipping and logistics company, on the acquisition of approximately 98 per cent of Turkey’s largest operator of freight ferry routes in the Mediterranean; and Marco Marazzi assisted furniture brand Natuzzi with a joint venture agreement with Jason Furniture (Hangzhou). Fabio Brembati is also an experienced adviser.

Giliberti Triscornia e Associati's international and domestic clients frequently operate in sectors such as food, healthcare, infrastructure and energy, luxury, manufacturing, media and technology, and retail. The team acted for Irideos, which is owned by the F2i Funds, on the acquisition of Enter, an Italian telecoms and data centre market provider. Senior partner Alessandro Triscornia is highly rated for M&A, private equity and restructuring and special situation transactions; he recently advised energy company Edison on the acquisition of Zephyro. Giuseppe Cadel is an experienced senior associate.

Jones Day 'has a great team in Italy' that regularly advises on both public M&A deals and private M&A transactions. Alongside the firm's Pittsburgh office, Stefano Crosio advised US-based NEP Supershooters, an international TV production company for major events, on its acquisition of Italian privately-held company, Telerecord, a provider of filming and post-production services. Fabrizio Faina, who frequently advises on deals involving Saudi Arabia, 'gives speedy responses and has deep knowledge of cross-border deals involving Italy'.

Regularly involved in large and complex corporate transactions, Molinari e Associati 'has an outstanding M&A practice'. The team assisted Alto Capital III, a private equity fund, with the acquisition of a controlling stake in a Venice-based company that produces and distributes bakery products. Ugo Molinari is 'a very bright lawyer', Marco Laviano is 'a highly skilled professional', and Nicolò Juvara is an insurance and financial services law expert.

Orsingher Ortu ‚Äď Avvocati Associati's team is 'proactive, reliable and competent'.¬†Mario Ortu¬†¬†leads the corporate and M&A practice, Paolo Canal¬†advised¬†TXT e-solutions¬†on the acquisition of the share capital of Cheleo, a company specialising in the management of financing by banking and financial intermediaries, and Nicola Barra Caracciolo¬†acted for¬†M&C on the sale of Treofan Holdings to a member of the B C Jindal Group, which develops and manufactures biaxially-oriented polypropylene films. Pierfrancesco Giustiniani¬†is also highly rated.

Pavia e Ansaldo frequently handles large mandates in the market for both major international and domestic clients and the practice has recently been active in transactions involving the oil and gas services, industrial technology, electronics, chemicals and logistics sectors. Stefano Bianchi is managing partner, Meritxell Roca Ortega heads the Spanish desk, and Sven von Mensenkampff is Germany desk head. Other key names are Roberto Zanchi, Francesco Manara and Mia Rinetti. The firm hired native Chinese of counsel Xie Ying to launch a China desk, while  Luca Cuomo left for DWF.

Shearman & Sterling LLP's Italian team members are both Italian and New York qualified; they regularly act in matters governed by Italian law or involving significant Italian law advice but that also include substantial cross-border elements. Domenico Fanuele advised Allianz on its acquisition from Blackstone of the units of a real estate investment fund, which owns a portfolio of Milan real estate properties. Fabio Fauceglia and Tobia Croff are also highly rated.

Simmons & Simmons is well known for private equity matters but the practice has also expanded to cover deals involving real estate, asset management, luxury goods, healthcare and life sciences, energy and TMT. The team advised Gangtai Group, a privately-owned China conglomerate, on the acquisition of an 85 per cent stake of Buccellati Holding Italia, an Italian luxury jewellery brand, from private equity fund Clessidra and the Buccellati family. Andrea Accornero is highly regarded and Dario Spinella specialises in real estate M&A; Moira Gamba and Carlotta Robbiano were promoted to of counsel.

White & Case (Europe) LLP is highly rated for complex cross-border deals, including outbound M&A. It also has a robust private equity practice and distinguishes itself with infrastructure and financial institutions group expertise. The team acted for an investment consortium on the acquisition from the Recordati family of the holding company that owns a majority stake in Italian pharmaceutical group Recordati. Michael Immordino splits his time between Milan and London, Ferigo Foscari is focused on public M&A transactions, Leonardo Graffi has extensive private equity experience, and Iacopo Canino is an M&A and private equity expert.

Bird & Bird’s corporate group is organised around sectors, namely life sciences, technology and communications, retail and consumer, energy and utilities, automotive, banking and finance, and food. Italian corporate group head Alberto Salvadè advised Giulio Fiocchi on the sale of global ammunition producer Fiocchi Munizioni’s entire share capital to a NewCo, which was incorporated by Charme Capital Partners. Stefano Silvestri is co-international corporate group head; Edoardo Courir is also highly regarded.

Carnelutti Studio Legale Associato fields lawyers with deal experience in the real estate, automotive, fashion and luxury, food, media and communication industries. Carlo Pappalettera assisted private equity firm Snow Phipps Group and Ideal Tridon with the acquisition of Clamp, an Italian company focused on clamping and cabling applications. Luca Arnaboldi is managing partner and Alberto Rittatore Vonwiller is also a key contact; Filippo Grillo was made junior partner, while Nicolò Bastianini left to found Studio legale Bastianini Carnelutti.

CMS is particularly focused on deals involving the energy, life sciences, industrial manufacturing and media sectors; the team is also experienced in the pharmaceutical and automotive industries. Pietro Cavasola heads the corporate and M&A department; recent work includes Matteo Ciminelli's advice to HP Italy on the acquisition of Samsung Electronics’ printer business. Other key names are Massimo Trentino, Daniela Murer, Marco Casasole, Paolo Scarduelli and Dietmar Zischg.

Curtis, Mallet-Prevost, Colt & Mosle LLP has particular strength in mid-cap transactions and sector expertise in energy, healthcare, real estate and TMT. In other areas, Ian Tully assisted Watercross Marine, a US shipping and marine supplier, with the sale of Precetti, a Miami-based engineering and ship-outfitting company, to DeWave, an Italian ship re-fitting operator. Dino Dima and Daniela Sabelli are also key advisers, Filippo Palmieri was hired from Studio Professionale Associato a Baker & McKenzie, and Carmine Gravina was promoted to partner.

Grimaldi SL LLP advises domestic and international clients on mergers, demergers, shares and asset acquisitions and group reorganisations, and has a strong presence in the Italian private equity market. Tiziana Del Prete advised Arti Group Holding on the sale to Pozzoni of a stake held in Nuovo Istituto Italiano d’Arti Grafiche and Eurogravure, which both operate in the printing sector. Paolo Daviddi, Giovanni Bocciardo, Adriano Pala and Giorgio Gallenzi are also highly rated.
