CMS is a market leader in cross-border M&A transactions. Practice head Anikó Kircsi is a strong figure in the market, with ‘tremendous experience in M&A deals and valuable knowledge of corporate restructuring’. Kircsi recently advised China-CEE Fund and CEE Equity Partners on the acquisition of Magyar Telecom’s interest in the Invitel Group. Éva Talmácsi, who splits her time between London and Budapest, handled a major acquisition for OTP Bank. Gábor Gelencsér, formerly a senior counsel with the firm, joined Andrékó Kinstellar as a partner in 2019.

Hegymegi-Barakonyi és Társa Baker & McKenzie’s strong reputation in this space is illustrated by its role on a series of big ticket cross-border M&A and joint venture transactions. Highlights included Ákos Fehérváry advising China Railway Group and its subsidiary China Railway International Group on establishing a joint venture company with Hungarian State Railways for the construction of a high-speed railway line. Ines Radmilovic and Pál Takács jointly lead the team. Emerson Electric is another key client.

Horváth & Partners DLA Piper’s team has recently handled a stream of cross-border mandates, including joint ventures and private equity transactions. Gábor Molnár assisted Abroncs Kerekedőház with the sale of a majority shareholding to Ardian Group, and András Posztl advised MediaWorks Hungary on the acquisition of Pannon Lapok Társasága from Funke Mediengruppe. Counsel István Szatmáry and senior associate Gábor Simon are also highly regarded.

Knight Bird & Bird Iroda enters the ranking following the arrival of a team from the now defunct Siegler Law Office / Weil, Gotshal & Manges LLP. The team has particular expertise in the financial services, private equity, telecoms and energy sectors, where it handles a considerable number of M&A mandates. David Dederick and Konrád Siegler are names to note, as is associate Dária Szabó who has ‘great technical skills’.

Lakatos, Köves and Partners has a strong track record handling headline transactions. In a series of landmark deals, it advised on the Hungarian aspects of EDF’s sale of EDF Démász to ENKSZ, handled a number of non-performing loan portfolio sales, and acted for Mid Europa Partners on the sale of Invitel to CEE Equity Partners. Ádám Máttyus and Richard Lock are ‘knowledgeable and pragmatic’, Péter Lakatos is ‘hugely experienced’ and Iván Sólyom ‘strikes a balance between attention to detail and the bigger picture’.

Dentons has core strength in transactions in the private equity space. Rob Irving advised Group Spadel on its €120m acquisition of Devin from Advent International, and Edward Keller advised a number of private equity firms on sales and acquisitions. Anita Horváth is another name to note.

Andrékó Kinstellar’s team is led by ‘excellent negotiator’ Anthony O’Connor, who specialises in private equity mandates and foreign direct investments. The group also includes the ‘very responsive and thoughtful’ Ákos Nagy, who was recently promoted to the partnership and focuses on domestic and regional mandates. Ákos Mátés-Lányi is also noted. Teva Pharmaceutical Industries, Microsoft, KBC Group and MET Group are all clients. Gábor Gelencsér was a new arrival in 2019 from CMS.

Erös Ügyvédi Iroda/Squire Patton Boggs’ recent highlights include advising Danone on the disposal of its Hungarian assets, and acting for a Hungarian-based real estate investment group on its purchase of a company. Ákos Erős heads the team which also includes senior associate Judit Nádor.

Leveraging its impressive presence across the CEE region, Faludi Wolf Theiss handles a steady stream of cross-border transactions. 2016 saw János Tóth acting on the Hungarian aspects of Filtration Group’s acquisition of the industrial filtration business of Mahle Group, which covered a number of CEE jurisdictions.

The practice at Forgó, Damjanovic & Partners Law Firmdemonstrates solid business acumen’. Zoltán Forgó who is ‘business-minded and practical’ and Gábor Damjanovic who is ‘a highly skilled and experienced practitioner with an infectiously positive attitude’ are the names to note. Recent highlights include advising J.H. Whitney & Company on a major acquisition and assisting a number of new clients with regional M&A and restructuring mandates.

Oppenheim has ‘a well-equipped, responsive and very reliable team’, which advises clients in the financial services, energy, private equity, and life sciences sectors. It acted for a consortium of investors on the acquisition of MKB Bank; assisted Hewlett Packard Enterprises with the restructuring of its Hungarian operation; and handled Messer Group’s acquisition of the Hungarian business of Air Liquide. Practice head József Bulcsú Fenyvesi is ‘knowledgeable and thorough’, and is supported by the highly regarded Mihály Barcza and Attila Terényi. Gábor Kordoványi joined from Schoenherr Hetényi Ügyvédi Iroda in 2017.

At Szabo Kelemen & Partners Attorneys, the team is singled out for its ‘extremely supportive, responsive and business-oriented approach’. The highly regarded László Kelemen recently advised a multinational commodities company on a series of divestments.

Szecskay Attorneys at Law stands out for its ‘in-depth legal knowledge and business-oriented approach’. The group advises on a range of transactions including restructuring, joint ventures, M&A and takeovers. The ‘very experienced’ Sándor Németh provides ‘excellent legal and strategic advice’. Orsolya Görgényi and Judit Budai are also names to note.

VJT & Partners focuses on handling cross-border transactions and is advising Profólió Group on the sale of its minority shareholding in Prohuman to Work Service. András Lovretity ‘understands client’s needs well’; János Tamás Varga is ‘a tough but pragmatic negotiator’; and Zoltán Csernus is ‘precise and reliable’.

Allen & Overy’s team regularly handles big-ticket regional transactions for a mix of Hungarian, regional CEE and global clients. The practice was part of a multijurisdictional team that advised Asahi Group on its €7.3bn acquisition of SABMiller from Anheuser-Busch InBev. Zoltán Lengyel heads the team. Hugh Owen left the firm in 2017.

Deloitte Legal Erdos and Partners Law Firm is particularly experienced in handling large transactions for clients in the financial services, energy and real estate sectors. Practice head Péter Göndöcz advised Magyar Nemzeti Bank on its sale of Eiffel Palace and is assisting Korn Ferry with restructuring its European subsidiaries.

Jalsovszky has core strengths handling transactions for TMT sector clients and private equity investors. Pál Jalsovszky advised Hiventures Venture Capital Fund Management on its capital investment in Flight Refund, a software development company, and the ‘solution-driven’ Gábor Pázsitka recently assisted Libra Szoftver with its acquisition of a group of seven companies.

Clients of Kapolyi Law Firm praise its ‘well-prepared and client-focused team’. József Kapolyi is ‘a remarkable and versatile lawyer with a strategic approach’. Senior associates Mónika Kapetz and Zita Orbán are also key contacts.

At Nagy és Trócsányi Ügyvédi Iroda, recent instructions include advising Cineworld Group on the establishment of its Hungarian subsidiary. Ildikó Varga heads the team, which also includes real estate specialist Péter Berethalmi and the ‘pragmatic’ Viktória Szilágyi.

Partos & Noblet in co-operation with Hogan Lovells International LLP frequently advises domestic and multinational clients on cross-border transactions in the CEE region. Christopher Noblet and Sándor Békési stand out for providing ‘aconsistent and highly professional service’. The team advised key client Danube Fund on its sale of Profirent to Terra Group Hungary, and in a separate transaction, handled its purchase of a majority shareholding in Tom Market.

Kinga Hetényi’s team at Schoenherr Hetényi Ügyvédi Iroda was bolstered by the arrival of Zita Albert and Márton Gervai from Dentons and Szabo Kelemen & Partners Attorneys respectively. Recent work includes advising on a number of cross-border M&A mandates and handling a major joint venture.

bnt | attorneys-at-law is praised for its ‘practical and client-oriented approach’ and its ability to handle large cross-border transactions. Jan Burmeister is ‘able to react appropriately to swift changes in the transaction’, and is ‘a very experienced lawyer who knows the Hungarian and German markets very well’.

bpv Jádi Németh Attorneys at Law’s client list features well-known multinational companies from the automotive, manufacturing and pharmaceutical industries, as well as technology start-ups. Recent matters include advising on corporate governance, restructurings, and cross-border M&A transactions. Andrea Jádi Németh and Péter Garancsi are notable practitioners.

Marianna Csabai’s team at CLV Partners - Csabai & Partners Law Firm excels in the pharmaceutical space, where it handles a range of matters including regulatory, product promotions and corporate issues. Senior associate Éva Fülöp was a new arrival from bpv Jádi Németh Attorneys at Law.

Conybeare Solicitors focuses on handling M&A mandates for clients in the oil and gas, and real estate industries. Steven Conybeare’s recent highlights include advising on the termination of a joint venture, an asset purchase, and the sale of a hotel to a foreign investor.

Noerr’s team is led by Ákos Bajorfi, who has particular expertise in assisting private equity investors and targets with major transactions. Clients include Finext Startup Venture Capital, OptoForce, Portico Investment and Cubilog.

Réti, Antall & Partners PwC Legal focuses on foreign direct investment deals and restructurings, and has notable expertise in the energy, transportation, telecoms and pharmaceutical sectors. Zoltán Várszegi and Dániel Kelemen stands out for their ‘problem-solving attitude’. Capital markets specialist Zoltán Martonyi was a new arrival from the now defunct Martonyi Law Firm.
