Almeida Guzmán & Asociados is a boutique law firm with strong expertise in the tax aspects of transactions and transfer pricing issues. A popular choice for national and international clients, it also handles tax audits and defends clients in disputes with the Inland Revenue Service (IRS) Ecuador. Diego Almeida-Guzmán has longstanding experience in the area and is the key contact. Juan Sebastián Loaiza and associate Elsa María Carrillo are also noted.

FERRERE Ecuador's practice has strengths in in tax, customs and investment consultancy. The team is led by Paola Gachet, who has noteworthy expertise in tax matters relating to acquisitions, reorganisations, infrastructure projects, state planning and negotiations with the government. Together with senior associate Bolívar Figueroa, she assisted Holding Iberopesca with a tax audit concerning a transfer pricing issue and involving IRS Ecuador. P√©rez Bustamante & Ponce's highly-regarded tax team has been particularly active recently advising on tax amnesty and tax matters concerning mergers and acquisitions. Practice co-head Juan Manuel March√°n¬†and director Carmen Simone-Lasso¬†advised DP World Posorja on the¬†immediate and long-term tax implications of the financing structure for the $377m development of the Posorja port. Other work includes acting for Arca in filing a¬†claim against the IRS relating to a special consumption tax audit. Bustamante & Bustamante has a good track record in tax litigation and structuring. Other areas of expertise include advising clients, in particular companies from the energy and services sectors, on double taxation treaties, transactions and compliance. Juan Carlos Bustamante heads the group; he combines experience in the corporate, energy and tax areas. Gonzalez Pe√Īaherrera & Asociados' tax group is active within the firm's core areas of oil, telecoms and construction. Practice co-head¬†Paola Robalino¬†is well versed in advising clients on complying with tax obligations and handling litigation; she represented¬†Sinohydro in two tax lawsuits initiated against the internal tax service (SRI) regarding its tax assessment. Other highlights include providing Synergy Group with¬†tax advice, which resulted in a reform to the tax legislation establishing¬†that only income which is not carried forward is taxable. Lexvalor Abogados is experienced in advising clients, in particular from the pharmaceutical, tourism and financial sectors, on tax compliance reviews, disputes and general tax support. Practice co-heads Carlos Coronel Endara in Quito and María Gabriela Uquillas Iturralde in Guayaquil specialise in tax law and customs taxation law respectively. Recent work saw the team representing Industrias Ales in an administrative proceeding before the IRS, in which it obtained the return of a tax credit for $5m. Mutualista Pichincha, Flopec and Oriente Seguros are among its other clients. Tobar ZVS Spingarn fields a team of multidisciplinary lawyers who handle a variety of tax matters for clients from the banking, finance and mining sectors in particular. Recent work includes advising Banco Pichincha on a financial structure to avoid withholding taxes and the exit currency tax. Other clients include Seguros del Pichincha, Coca-Cola and Aekia. Coronel & Pérez's team assists clients with the tax aspects of transactions, as well as tax and estate planning. Practice head Hernán Pérez Loose, together with Boanerges Rodríguez Freire and associate Boanerges Rodríguez Velásquez, advised Grupo Vilaseca on the corporate restructuring of the group, which was related to governance issues and tax efficiency objectives. Senior associate César Coronel Ortega and Jorge Sicouret Lynch advised a Dutch bank on the Ecuadorian taxation issues of a financing operation related to works at a major transportation and logistics infrastructure facility in Ecuador.

Co-led by Xavier Rosales and Andrea Moya Hidalgo -who was raised to the partnership in May 2019- the team is acting for Munich Re in filing a $1.1m reimbursement request before the Tax Authority concerning double taxation. Santiago Palacios represents Lutexsa in challenging a coercive proceeding initiated by the local government of Esmeraldas.   • Turkey: Special Purpose Acquisition Companies

    Special Purpose Acquisition Companies (" SPAC "), which are incorporated to achieve the purpose of investing and merging with a non-public company, were first introduced in the United States in 1990s and recently increased its popularity globally. Unlike other countries, SPACs entered into Turkish legal system relatively late with the Communiqué on Common Principles Regarding Significant Transactions and Appraisal Right (Communiqué No. II-23.1) of the Capital Markets Board (" CMB "), published in the Official Gazette dated 24.12.2013 numbered 28861(" Appraisal Right Communiqué "). Currently, there is no SPAC listed under Borsa Istanbul (" BIST ") in Turkey. SPACs are very similar to venture capital structure and can be considered as a strong alternative for investors and shareholders in Turkey as well.

    Cyprus has concluded the negotiations for the avoidance of double taxation with the Netherlands. The double tax treaty was agreed at technocratic level in Hague. It is expected to be signed by the end of 2019 or early in 2020.
