Career

Howard Kleinman focuses his practice on capital markets and financial transactions. He represents domestic and foreign issuers, underwriters, and others in equity and debt offerings. His experience includes U.S. registered public offerings and offerings under Rule 144A private placements, offerings outside of the U.S. under Regulation S, exchange offers, debt tenders, and consent solicitations. In addition, he counsels both U.S. and non-U.S. issuers on ongoing disclosure obligations under the U.S. federal securities law and corporate governance matters. Mr. Kleinman also advises clients on mergers and acquisitions and joint ventures. Fluent in English and Spanish, Mr. Kleinman has significant experience in Latin America.

DLA Piper LLP (US)’s expanding footprint in the region is gaining it further traction in Latin America capital markets transactions. Team members have a solid record in project and infrastructure bonds, issuances by FIBRAs in Mexico and offerings by Argentine issuers. Key New York partner Christopher Paci focuses on non-US issuers and more than half of his practice is driven by Latin America transactions. Clients of the firm include Cofide, Fomento de Construcciones y Contratas (FCC), Globant, Bank of America-Merrill Lynch, Iridium/ACS and the municipality of Cordoba. Recent mandates include advising Buenos Aires-headquartered Stoneway Capital on its $165m Rule 144A/Reg S senior secured notes offering. New York’s Jack Kantrowitz is noted for sub-sovereign issuances in Argentina and Miami-based finance and capital markets partner John Murphy is also a key member of the team. In February 2018, the firm hired three partners into its Bogota office from Garrigues, providing additional corporate and capital markets expertise. Dechert LLP is better known for M&A and restructurings in Latin America, but maintains a small market share of IPOs in the region, most notably in Mexico, Brazil and Chile. As special tax counsel, it advised Brazilian payment processor PagSeguro Digital on its $1.7bn US IPO and represented Chilean holding company Inversiones SAMS in its $30m private placement of senior secured notes. New York partner Howard Kleinman is a recognised Latin America specialist with extensive contacts in the region.

Dechert LLP is noted for headline M&A and restructurings in Latin America. In 2017, it continued to advise GMéxico Transportes (GMXT) on its $2.1bn acquisition of Florida East Coast Railway Corp from Fortress Investment Corp, and in another outbound deal, also represented Cinemex Holdings USA on its acquisition of Cobb Theaters in the South East of the US; Cinemex is headquartered in Mexico City. New York partner Howard Kleinman has an outstanding record in Latin America M&A and is supported by Bernardo Piereck. Allan Brilliant is a leading figure in Latin America restructurings.

Dechert LLP has continued to expand its team in the US and globally. In 2017, partners Nazim Zilkha, Gareth Clark and Jeff Norton joined the New York office from White & Case LLP, Paul, Weiss, Rifkind, Wharton & Garrison LLP and Linklaters LLP respectively. London, Hong Kong and Singapore have also recently benefited from lateral hires. The firm advised GMéxico Transportes, a subsidiary of Grupo México, on its acquisition of the Florida East Coast Railway from Fortress Investment Group and individual shareholders. It also advised H&E Equipment Services on its proposed $1.2bn acquisition of Neff Corporation. The firm continues to make an impression in financial services and healthcare deals and is a growing force in technology. Other clients include ECN Capital, MSD Partners, Select Medical Corporation, Lazada, Lexmark, Ipsen and GIC. Mark Thierfelder is chair of the firm's corporate and securities group, while experienced Philadelphia partner Henry Nassau has ‘spectacular judgment’ and is recommended for board and company representation. Jonathan Kim, Derek Winokur, Christian Matarese and Markus Bolsinger are also key members of the team, along with Latin America expert Howard Kleinman. Former chairman of the firm Barton Winokur is a ‘brilliant lawyer and negotiator’. Attorneys are based in New York unless stated otherwise. Former partner Carmen Romano has retired.
