Career

Xiao Yong practices in the area of corporate law, with a focus on the energy and natural resources, mining and metals, oil and gas sectors. Mr. Xiao has significant experience in assisting clients with cross-border transactions.

Mr. Xiao represents Chinese companies, including a number of China’s largest state-owned businesses, on international mergers and acquisitions and foreign direct investments. He also acts for multinational companies on PRC-related corporate matters, including mergers and acquisitions, foreign direct investment, private equity, venture capital, regulatory, and general corporate matters. In addition, his practice includes seeking approvals from high-level government agencies and conducting anti-monopoly filings. He has represented clients from various sectors and industries, including energy, financial services, manufacturing, franchising, healthcare, food and beverage, and technology. 

Prior to joining Dechert, Mr. Xiao served as head of the China practice and partner in the energy transactions and projects group at Vinson & Elkins. His previous experience also includes working as the Assistant Chair of the Foreign Investment Law Division of the Department of Treaty and Law of the Ministry of Foreign Economic Trade and Cooperation (MOFTEC, now Ministry of Commerce) of the People’s Republic of China.

Following some high-profile lateral hires in 2017, Dechert LLP has become a serious player in Greater China's oil and gas sector. The department includes Nicholas Song and Xiao Yong, who advised Sinopec International Petroleum Exploration and Production Corporation on its proposed divestment of oil assets in Argentina. Yong, who splits his time between Beijing and Hong Kong, is particularly active in China's burgeoning LNG sector, though the team also has experience in energy production outside of oil and gas. One of the group's most significant matters involved the first-ever civil nuclear cooperation between the US and China, in which Yong assisted TerraPower with the formation of a joint venture with China National Nuclear Corporation for the development of certain nuclear technology to promote the growth of clean energy. Additional clients include Silk Road Fund, MIE Holdings Corporation and a number of Chinese SOEs.

Dechert is active in high-profile domestic M&A and cross-border transactions. As part of an expansion of the firm's corporate platform globally, the hires of Xiao Yong, counsel Nicholas A. Molan and associate Jason Wu (all arrivals from Vinson & Elkins LLP in March 2017) have seen the firm step up its capabilities in energy sector deals. Yong and Wu advised TerraPower LLC on the formation of a joint venture in China with China National Nuclear Corporation, which is intended to develop Travelling Wave Reactor technology that promotes the growth of clean energy; this is the first civil nuclear corporation involving the US and China. Stephen Chan's corporate experience spans industries such as healthcare, media, real estate, metals and mining and financial services. Chan was the lead adviser to China Financial Services Holdings on the $139m acquisition of certain loan portfolio and equity interests of three Chinese companies from The Bank of East Asia and Credit Gain Finance (a wholly-owned subsidiary of the Bank of East Asia). Another highlight involved advising the same client on its acquisition of Brilliant Star Capital from Value Partners Group for $41m. Chan co-heads the practice with David Cho, who is sought for his expertise in Asia-US transactions.
