Position

Evgenia focuses on structuring and full transaction support of local and cross-border M&A deals, including legal due diligence and antimonopoly matters. Evgenia also advises on corporate restructurings and joint-ventures, as well as corporate law issues such as corporate compliance, corporate governance and liability of directors. In addition, Evgenia advises on various legal issues related to the establishment, protection and liquidation of business in Russia and handles commercial contracts, including cross-border commercial arrangements.

For more than 15 years, Evgenia has represented the interests of Russian and foreign companies across various sectors, including banks, insurance organizations, manufacturing, real estate development and pharmaceutical companies and companies operating in the area of retail trade.

Dentons’ team demonstrates ‘great initiative and out-of-the-box thinking’ and has broad coverage advising on large-scale projects in the North West and other major cities in Russia, with a strong focus on cross-border M&A deals, the competition aspects of transactions and risk assessments related to sanctions. Recently promoted to head of the corporate department, Evgenia Teterevkova focuses on the structuring of local and cross-border M&A deals, corporate restructuring and joint ventures; in one recent example, she assisted AmRest with structuring the transaction to acquire a KFC franchise business in the Krasnodar region. Counsels Sergey Fedorov, Oleg Lovtsov  and Anton Poddubny ‘are extremely helpful and knowledgeable in all aspects of the transaction’. Artem Zhavoronkov is now with Borenius.

Dentons is active in M&A transactions, joint ventures and financing for Russian and international oil and gas companies.  Practice head Alexei Zakhrko recently advised an oil company on a joint venture for the construction and operation of an LNG terminal in the Leningrad region. In other highlights, Maria Oleinik assisted EuroChem with the sale of Severneft-Urengoy to the Novatek Group, and St Petersburg-based Evgenia Teterevkova advised an energy company on the purchase of three separate solar power plants in Russia.
