Global banking and finance giant, Allen & Overy Luxembourg is ‘highly professional’, ‘fast’ and ‘accurate’. The firm has done ‘extremely well on structuring highly complex deals’. During 2009 and 2010, the firm continued to work on a series of major restructurings, including representing JPMorgan on the restructuring of the Wind Hellas group. Securitisation is another key part of the practice, most notably for Frank Mausen. Luxembourg managing partner Henri Wagner provides a ‘high-level service’, particularly in the capital markets environment, while André Marc and Pierre Schleimer are also recommended.

Corporate and M&A

It has an unrivalled record in M&A, private equity, restructuring and IPOs. It recently advised Avelar Energy on a new Luxembourg joint venture with Enovos Luxembourg. Senior partner Marc Feider (‘deep transaction, tax and financing experience’) is a pre-eminent figure in Luxembourg. Fabian Beullekens is also recommended.

Dispute resolution

IP and IT

Allen & Overy Luxembourg has an eminent reputation for contentious IP, most notably patent litigation, as well as outsourcing and data protection. IP specialist Katia Manhaeve was elevated to partner in May 2010, and is particularly active in the R&D and life sciences sectors, as well as unfair competition. Recent highlights include representing an international fashion group on the transfer and restructuring of its IP portfolio. Counsel Cyril Pierre-Beausse provides considerable experience in IT (including outsourcing), data protection and related regulatory matters (particularly in the financial sector).

Insurance

The firm recently advised Fortis Group on the sale of Fortis Luxembourg IARD to Bâloise Assurances Luxembourg and represented SEB on the launch of an insurance brokerage business under Luxembourg law. Pierre Schleimer, along with senior associate Renaud Graas are recommended for insurance and re-insurance M&A, regulatory and insolvency issues, while Fabian Beullekens is also experienced in insurance M&A.

The firm recently advised the sponsors on the setting-up of the Marguerite Fund, a pan-European infrastructure fund. The broad practice covers a variety of funds including SICAFs, SICAVs and SIFs. The multi-specialist partner André Marc and real estate counsel Serge Hoffmann are the senior members of Allen & Overy Luxembourg’s department. The firm represents a number of European banks with operations in Luxembourg, as well as a multitude of international developers and real estate funds. It recently advised Commerzbank International on the sale of the former headquarters of Dresdner Bank Luxembourg to the Luxembourg government.

Tax

Within Tax, Allen & Overy LLP is a first tier firm,

Allen & Overy Luxembourg has particularly notable expertise in capital markets, cross-border M&A and investment funds. It worked on the launch of the Marguerite Fund, an €1.5bn pan-European infrastructure SIF.
