The team advised Simec Group on its £330m acquisition of Alcan Aluminium from Rio Tinto; as part of the deal, the client acquired two hydropower plants, a Scottish port and 100,000 acres of land, as well as the transfer of an aluminium smelter in Lochaber, Scotland to a sister company of the client. Other highlights included assisting Next Generation Data on the sale of a controlling stake to an infrastructure fund for £90m, and advising Dynagas on its three-way joint venture with China Merchants Energy Shipping and Sinotrans Shipping for the purposes of building a fleet of LNG tankers. Marcol, Seaco Global and A-House Investment are also clients. Corporate finance expert Simon Vere Nicoll heads the team, splitting his time between the Guildford and London offices; commercial projects and outsourcing specialist Nick Purnell also leads the practice. The commercial litigation practice at Clyde & Co LLP works closely with the firm’s London office to represent clients in litigation at the Supreme Court and the Court of Appeal. It is well-versed in alternative forms of dispute resolution, including arbitration and mediation. The team represented PetroSaudi in a major dispute with PDVSA, Venezuela’s state-owned oil company, following PDVSA’s refusal to pay for the client’s drilling rig when it was refused re-entry to Venezuela; the team successfully overturned the High Court judgment at the appeal stage. It also acted for AmTrust in a dispute with Trust Risk Group (TRG) concerning a €2.9bn breach of trust claim brought by TRG over AmTrust’s position as sole distributor of TRG’s $500m Italian medical malpractice insurance business, which involved obtaining a freezing injunction and international arbitration proceedings. Virgin Atlantic, Lufthansa, Apache and Carphone Warehouse are also clients. The practice is headed by experienced arbitrator David Bennet and Tim Foley, who has expertise in breach of covenant and asset management disputes. They are ably supported by Chris Burdett who ‘is one of the best litigators around: strategic, calm, practical and highly intelligent’, according to one client; and Mark Walsh, an international arbitration and energy sector specialist.

It also assisted Ares Property Management with its £270m acquisition of Land Securities’ retail park portfolio, and advised U+I Group on its appointment to be a development partner for Mayfield Partnership, for the regeneration of the Mayfield area in Manchester and Manchester Piccadilly Station into mixed-use commercial and residential spaces; the project is value at £300m.
