This lender-focused international firm advises banks like Pekao (retail sector financing), Aareal (Rondo One acquisition financing), Zachodni (acquisition financing) and WestImmo (retail estate lending) on various high-value facilities. In projects, the firm assisted Mitsui with a wind farm project.

Clifford Chance’s Agnieszka Janicka leads the equity practice and managing partner Grzegorz Namiotkiewicz heads up debt. The firm acted on PKO BP’s establishment of a €3bn Eurobond share programme, and Millennium Bank was assisted with the issue of Tier II Eurobonds. In equity, the team acted for the underwriter counsel on the global offering of Cyfrowy Polsat shares.

Clifford Chance is ‘big and serious’, with an impressive list of M&A and private equity deals, including advising Bridgepoint on the acquisition of 75% of CTL Logistics, the largest rail freight operator in Poland; acting for PGNiG on its purchase of a stake in oil and gas deposits; and representing Macquarie Global Property Advisers on the restructuring of its investment in the Rondo 1 office building. In media, Polish TV station TVN was assisted with its acquisition of a media and entertainment company. Group head Agnieszka Janicka and counsel Piotr Dulewicz are recommended.

Dispute resolution

Clifford Chance’s ever-growing disputes practice is well-regarded in the market and has seen increased instructions in relation to arbitration, insolvencies, healthcare-related actions, and construction disputes. Bartosz Kruzewski’s group was retained by the Government of Poland on a €700m energy charter dispute arbitration instigated by Mercuria Group, and was instructed to challenge the EC’s decision regarding Poland’s CO2 emission allocation. The firm continues to act for the committee of bondholders of Elektrim in a highly publicised dispute, and nine judges are being represented on a pro-bono basis as regards Poland’s President’s refusal to promote them to higher courts.

Intellectual property

Within Intellectual property, tier 5

Clifford Chance’s IP team is run by senior associate Maciej Zwolinski, while disputes head Bartosz Kruzewski is responsible for developing the IP practice. The practice has assisted Office Depot with domain name disputes and advised Mars on trade mark issues. Patent attorney Magdalena Cybulska has joined the firm.

Projects, energy and natural resources

Clifford Chance’s Agnieszka Janicka leads an energy, projects and natural resources department that also advises on environmental law matters. The firm acted on the project financing of a renewable energy plant, and advised Japanese and Dutch clients on various aspects of wind projects. Vattenfall Heat was advised on environmental issues.
