Position

Partner and head of the commercial team, Matthew deals with non-contentious commercial matters. Matthew’s experience includes general commercial advice, supply agreements for goods and services, terms and conditions, and advice on incorporation, agency and distribution agreements, franchising, outsourcing (including to offshore providers), licensing arrangements, system procurement and systems integration agreements and facility management agreements (including cleaning and catering). Since arriving at Clarion in January 2010, Matthew has successfully been appointed to support a number of legal teams at high profile organisations.

At Clarion, Jonathan Simms is a key name for M&A issues and regularly acts for corporate finance clients; his recent work includes advising the shareholders of Intermarketing Group on its sale, assisting the shareholders of Walkers Transport with a private equity investment including a management buy-in, and acting on the sale of the issued share capital of Pembrokeshire Resource Centre. Richard Moran and Matthew Hattersley lead the corporate and commercial teams respectively; other noteworthy individuals include commercial partner David Cunningham, who focuses on IT outsourcing projects; and legal director Tony Berry, who is experienced in international M&A. Up Fitness Group and Card Factory are also clients; Cunningham advised the latter on a project to replace all its electronic point of sale systems.

Matthew Hattersley and Dominic Higham jointly lead Clarion’s practice and specialise in non-contentious and contentious mandates respectively. In a recent highlight, Hattersley assisted Ligentia with its negotiations with John Lewis for the use of its Ligentix software platform. Other work includes Higham representing InterSystems in a Commercial Court claim regarding alleged delivery issues relating to the implementation of a patient records system in a Saudi Arabia-based hospital, David Cunningham advising Card Factory on the replacement of its electronic point of sale systems and Cunningham acting for InterSystems on its successful bid to provide an electronic patient records management system to three Liverpool NHS Trust hospitals. Other key individuals include senior associate Fiona Marr, who focuses on the drafting and negotiation of contracts, and associate Florence Maxwell.

Recent highlights for Clarion's David Cunningham included advising Yorkshire County Cricket Club on a sponsorship agreement with Emerald Group for the naming rights to Headingley Stadium.
