Areas of practice

Litigation and arbitration: Warde Advogados' litigation and arbitration team represents clients in various corporate disputes seeking to render corporate acts null, void or ineffective; to enforce the compliance by directors and officers with legal corporate duties (e.g., exclusion, forced removal and liquidation of assets); to seek indemnification to companies and shareholders; and to require intervention in corporate management. Warde Advogados is very active in administrative proceedings before the Brazilian Securities Commission (CVM), the boards of trade and the Department of National Commerce Registration. The firm develops independent theses and strategies to support clients' claims and defenses involving key corporate and securities law issues under dispute. The firm also works with disputes in the energy and banking areas and involving financial and commercial agreements.

Finance: Warde Advogados' projects team advices banks, syndicates, domestic and international companies on project finance, working capital finance, refinance and drafting and negotiating agreements of infrastructure projects (e.g., EPC and O&M). Anticorruption: Warde Advogados represents clients in corporate punitive administrative proceedings related to anticorruption laws before the Ministry of Transparency and Federal Controlling Office (CGU) and similar state and municipal bodies, the Federal Prosecution Office and courts.
