Banking and finance
Banking and finance - ranked: tier 3

Lazo, De Romaña & CMB Abogados

According to clients, Lazo, De Romaña & CMB Abogados strives towards ‘a deeper involvement in the banking business from the inside than any other banking and finance firms in the market’. Newly-made partner and ‘outstanding banking lawyer’ Bruno Gonzales is ‘solid, creative, and provides an excellent client service experience’; he advised BBVA Banco Continental on the $73m issuance of bonds by state-owned Peruvian bank, Banco de la Nación. The department includes a notable capital markets practice, which was further boosted in 2016 through the arrival of capital markets specialist Freddy Escobar from Philippi Prietocarrizosa Ferrero DU & Uria. In 2016, he acted as legal counsel to Peruvian power company Edelnor in its $30m bond offering. However, the team’s marquee mandate was its advice to the Republic of Perú on its $3bn issuance of sovereign bonds, which was the largest debt transaction in the country’s history – name partners Jorge Lazo and Fátima de Romaña led the work. The team is also recommended for finance restructurings and banking regulatory matters. Senior associates Patricia Brocos and Yésica Del Carpio both stand out among the team’s solid second line.

Competition and antitrust
Competition and antitrust - ranked: tier 2

Lazo, De Romaña & CMB Abogados

Lazo, De Romaña & CMB Abogados was hit by the departure of antitrust specialist and former practice head Ivo Gagliuffi, who was appointed president of INDECOPI. However, the team remains a strong contender in the antitrust and competition field, thanks in no small part to the considerable expertise of Joselyn Olaechea, who is consistently singled out as one of the market’s top figures. Other names to note include senior associate Carlos Rojas, who leads the unfair competition and advertisement practice team, and regulatory expert Freddy Escobar, who joined the firm in 2016 and is a former commissioner at the Consumer Protection Commission. Recent highlights include defending Mediterranean Shipping Company before INDECOPI over an alleged violation of antitrust regulations in the framework of maritime conferences; and Quimica Suiza in claims filed by INDECOPI over an alleged price fixing agreement between pharmacy chains. Luis Miguel León left to establish his own firm in April 2016.

Senior associates Claudia Távara and Víctor Lazo are both noted for their experience and the pair assisted Jorge Lazo with the advice to Librerias Crisol regarding the sale of 100% of its shares to Derrama Magisterial. The team’s most high-profile deal of late was, however, its advice to four companies belonging to Indumotora Group on their acquisition –within the framework of a regional sale transaction involving $290m worth of businesses– by Inchcape. The firm has strong expertise in transactions involving regulatory issues, including insurance and reinsurance (Gallagher JAO and Secura were both recent clients), energy, pharmaceutical and banking. A recent highlight in that field saw banking partner Freddy Escobar assisting BBVA Banco Continental with its acquisition of three companies: BBVA Consumer Finance–Edpyme, Forum Distribuidora, and Forum Comercializadora.

Public law and regulation - ranked: tier 3

Lazo, De Romaña & CMB Abogados

Lazo, De Romaña & CMB Abogados suffered a blow with the departure of competition specialist Ivo Gagliuffi to become President of INDECOPI, but it retains a share of the market for public, administrative and regulatory law mandates owing to key senior associate Laura Francia’s expertise. In a recent highlight, the team advised finance boutique ASESORANDES on the design of sustainable modern markets for the city of Cusco, and the urban use of the disused railroad station of Wanchaq, owned by Ferrocarril Trasandino. The team acts for both public and private companies, and other clients include Colegio de Abogados de Lima, Grupo Centenario, and Gremio Peruano de Cosméticos e Higiene. Francia leads the team, which is able to draw on the regulatory skills of highly regarded competition head Joselyn Olaechea. Senior associate Maurice Saux is also recommended.
