Consortium Legal
‘Outstanding’ corporate powerhouse Consortium Legal fields a four-partner corporate and finance department that is adept at negotiating loan agreements, undertakes bond issuances and restructurings, and handles high-profile transactions, often with a cross-border element. Jointly led by Olga Barreto and Rodrigo Taboada, the practice group’s expertise spans the energy, food and beverage, transportation and banking sectors among others. Infrastructure investment manager I Squared Capital recently instructed the team to assist with its acquisition of four power generation facilities in Nicaragua from Inkia, an IC Power subsidiary; work included due diligence, financing, tax, labour, IP and regulatory issues. Another major highlight was advising Central America Bottling Corporation (CBC)’s Embotelladora Nacional, on its role as guarantor in the $500m bond issuance and sale to initial buyers Citigroup Global Marketers and JP Morgan Securities. Other notable mandates included acting as local counsel for Grupo Monge in a regional syndicated loan granted by Bladex; and assisting Nica Vista with corporate and debt structuring as well as a regional capital increase. Clients also include Seguros America, Vuela Aviación and Tiempos de Siembra.

Legal market overview
The consequences of this recent socio-political volatility will of course impact upon business activity (and particularly foreign direct investment) but has not, as yet, filtered through to the legal services arena. The market is highly competitive with a strong presence on the part of regional players, such as Arias, Consortium Legal and García & Bodán, along with Aguilar Castillo Love, BLP and Central Law Nicaragua, as well as key local player (and Lex Mundi alliance-member), Alvarado y Asociados. The country’s IP market, an area where boutiques often shine, includes a number of highly specialised firms like Guy José Bendaña-Guerrero & Asociados, Bendaña & Bendaña and Estudio Caldera, S.A..

Consortium Legal
Consortium Legal draws on a wealth of experience in high-value real estate transactions, lease agreements and real estate litigation. With three offices in the country –in Managua, León and San Juan del Sur– the nine-strong team serves an international and domestic client base that includes developers and investors, often from the energy and tourism sectors. Prominent recent work saw the team assist Verdes Desarrollo with the condominium regime for an $8m housing project in Managua; highly regarded practice head Carlos Taboada led the advice. Another name to note is associate Queenie Bendaña, who regularly handles due diligence processes for real estate transactions.
