With a stellar list of both local and multinational clients, Consortium Legal’s banking and finance team has a strong reputation across the full range of banking and finance-related work, including structured finance, public bond offerings and syndicated loans. In a key headline deal, the team acted for Citigroup Global Markets, as structuring agent and global coordinator, as well as Banco CMB as local structuring agent, on Autopistas del Sol’s $300m (international) and $50.75m (local) bond offerings. Other work includes assisting Banco Davivienda with a debt issuance secured by a portfolio of denominated diversified payment rights (DPR) and, separately, with two long-term loans granted to construction and real estate company Latam Logistics. The practice has a strong regional presence, as evidenced by its continued advice to Banco Latinoamericano de Comercio Exterior (Bladex) regarding a $120m syndicated loan facility granted to Grupo Monge in jurisdictions including Panama, Guatemala, Nicaragua and Honduras. The practice is jointly led by Mario Quesada-Bianchini, Randall Barquero and David Campos. Other representative clients include Scotiabank and Banco General.

Consortium Legal’s corporate and M&A team handles the full spectrum of corporate and transactional work, including cross-border acquisitions, mergers and joint ventures, as well as due diligence, day-to-day corporate work and antitrust matters. The 11-strong team is jointly led by Juan Manuel Godoy and the highly regarded Rolando Laclé Zúñiga and recently assisted Corporación Multi-Inversiones (CMI) with the acquisition of local companies Pollos Pura Vida and Avícola Paine. Other recent highlights include advising ICU Medical on its $250m acquisition of Pfizer subsidiary Hospira Infusion Systems and advising Cuestamoras on its $80m sale of the Marriott Hotels in Herradura and Belén to an investment fund and Grupo Enjoy. Juan Manuel Cordero, who is noted for his ‘quick response times and good analysis’, continues to lead advice to Walmart on its corporate restructuring project and David Reuben, who also co-heads the firm’s real estate practice alongside Cordero and Laclé Zúñiga, led advice to Cuestamoras Salud Costa Rica on the acquisition of 14 Farmacias La Bomba pharmacies. The firm’s client roster includes local and multinational companies from a variety of industries, such as Globeleq Mesoamerica Energy, Avianca Holdings and Grupo el Colono.

The three-strong litigation and arbitration department at Consortium Legal is co-led by Rolando Laclé Zúñiga and José Pablo Valverde, and has significant experience handling administrative, contractual and tax-related disputes, both on the defence and claimant side. In addition to its prowess in finance-sector related disputes, the team is particularly active in the real estate and construction industries. In recent work, Adrián Alvarenga (who also acts as an arbitrator), represented claimant Walmart in an administrative lawsuit against the government and the National Institute of Urban Housing (INVU) concerning the legality of certain administrative decrees concerning supermarket construction regulations. In another notable highlight, the team successfully advised Bolsa Nacional de Valores on an administrative lawsuit against both the Securities Regulator and Costa Rica’s Central Bank, obtaining the annulment of a decree affecting the Costa Rican Stock Exchange and that allegedly violated country’s Securities Exchange Act.

Undeniably one of the best tax practices in the country, the department at Consortium Legal distinguishes itself through its ‘in-depth business acumen’ and broad service offering, which includes advice on day-to-day tax matters, transfer pricing, tax planning and restructuring, and issues arising from the county’s free trade zone regime, as well as contentious tax matters involving administrative litigation against the tax authorities. Noted for its ‘sound judgement, preventive and objective risk evaluation’, the team regularly receives instructions from regional and international companies, including Globalvia, Petro Delta and Cognitiva.
