The team saw an upturn in local financing activity during 2011, and remained busy advising both international and local clients on a range of credit and financing transactions as well as on legal and regulatory changes in the country's banking industry. Highlights included representing the new board of directors at Chilean retailer La Polar on a make-or-break $1bn debt restructuring, aimed at restoring the publicly traded company's position in the wake of a scandal involving alleged fraud and financial misrepresentation. The team has also won a mandate to assist Chile's state-owned subway company, Metro, with all its banking and capital markets requirements over the next two years. In another highlight, Guerrero and Sebastián Yunge advised mining and steel group CAP on the $180m project financing for the construction of a sea water desalinisation plant in northern Chile. Also singled out are Jorge Delpiano, who led a team that advised Empresas Carozzi on the registration of two lines of bonds for a total amount of $371m, and Cristián Fabres, who advised BCI Securitizadora on the issuance of a $65m securitised bond. Leveraging off the firm's impressive global network and providing a full-service offering that includes tax advice and finance restructuring, León Larrain's eight-lawyer corporate team at Baker & McKenzie has an established market recognition as a result of an impressive deal book. The team is well positioned to handle M&A transactions in the mining sector, and recently called on Antonio Ortúzar's expertise to advise Sierra Gorda SCM on the agreement entered into with Sociedad Química y Minera de Chile to purchase some of the latter's mining properties for $37m. It also assisted the Italian infrastructure company Atlantia on its $400m acquisition of a stake in three of Chile's toll road operators, and on the $1.14bn sale of a 49.99% stake in its Chilean unit, Grupo Costanera, to the Canada Pension Plan Investment Board. Another significant mandate came from Viña Concha y Toro, one of the leading wine producers and exporters in Latin America, which instructed the team on its $238m acquisition of the Fetzer Vineyards brand (and four other California-based wine brands) from the Brown-Forman Corporation, thereby gaining a significant operating presence in the US. The team has also picked up work from other high-profile companies such as Wells Fargo, Caterpillar and Weir Corporation.

It has been acting for the Chilean arm of British American Tobacco, Compañía Chilena de Tabacos, against CORFO in relation to the alleged profits gained from the 2007 Inverlink Brokerage fraud. The group also successfully represented Hidroenersur in the enforcement of a $48m land purchase agreement for the development of a hydroelectric project. The team regularly advises British mining company Anglo American, for which it handled instructions including the acquisitions of Compañía Minera Disputada de Las Condes and Minera Montecristo, as well as the expansion of its Los Bronces project. The team represented Simbalik before the Chilean Nuclear Commission to obtain the authorisation to extract lithium at its project in the Salar de Maricunga, the first lithium licence to be granted since the enactment of the current mining code. It also advised CAP on its joint venture with Mitsubishi for the development, construction and operation of a desalinisation plant in the Atacama region to provide water to two mining ventures owned by Compañía Minera del Pacífico; and acted for International Copper Company on the purchase agreement for the acquisition of a medium-sized copper producer. It has experience across the alternative energy sub-sector (hydroelectric, solar, wind, thermoelectric and geothermal) and handles issues throughout the energy project cycle, from initial exploration to financing and sale transactions. The team comes under the umbrella of the broader energy, natural resources and environment group headed by Clemente Pérez, who previously served as director at the National Environmental Agency and also as deputy secretary of public works. Pérez and Cristián Fabres advised Hacienda Talinay on the sale of its 92% stake in wind farm Parque Talinay Oriente, which resulted in the first filing of a request for the partial transfer of environmental permits at the Chilean Environmental Agency. The team is representing TuVes against Television Nacional de Chile in an unprecedented case in which the claimant challenges the right of satellite and cable service providers to freely transmit public digital TV channels. It also advised Tekelec on number portability and network neutrality matters. In 2011, managing partner Roberto Guerrero V was appointed to the board of the National Television Council, the body responsible for supervising Chilean TV's regulatory compliance.   • China Customs New Interpretation

    For many products, tariff classification can be technically complex, confusing, and subject to multiple interpretations. Often several different Harmonized System Codes ("HS Code") may seem applicable for one given product with different tariff rates. Tariff classification is indeed a process of application of customs classification rules, including customs rulings and decisions, and misclassification may trigger severe legal consequences. The sad fact is, unfortunately, that many companies rely on non-legal professionals to determine the HS Codes for imports or exports. A recent interpretation issued by the General Administration of Customs of China ("GACC") (Circular No. [2012] 495 Shu-Fa-Fa) (the "Interpretation") reinforces the process of tariff classification as a legal matter, and formulates the test as to what counts for regulatory violation if tariff classification rules are improperly applied by the importer or exporter in a given case. If the legal defense is successful, misclassification may only be treated as a non-violation misclassification, with the possible obligation to pay up additional customs duties, if any, but without administrative or criminal consequences. The Interpretation took effect as from February 1, 2013.
