Position

Yaron Z. Reich is a partner based in the New York office. Mr. Reich’s practice focuses on taxation and related matters, including the tax aspects of corporate acquisitions, restructurings, insolvencies and financing techniques. He has extensive experience in international transactions, taxation of banks and other financial institutions, foreign investment in the United States, leveraged leasing and project finance, joint ventures, partnerships, real estate transactions, transfer pricing and tax litigation. Mr. Reich has published several significant articles on international tax issues and tax policy. Mr. Reich is widely published on the various aspects of taxation.

Career

Mr. Reich joined the firm in 1979 and became a partner in 1986.

Member

Mr. Reich is a member of the Bar in New York and is admitted to practice before the U.S. District Court for the Southern District of New York, the U.S. Claims Court and the Tax Court. He is a member of the New York State Bar Association and of the Executive Committee of its Tax Section, and has served as a co-chair of several of its committees.

Education

Mr. Reich received an LL.M. degree in taxation from New York University School of Law in 1984, a J.D. degree from Columbia University School of Law, where he was a Kent and Stone Scholar and Special Issue Editor of the Columbia Law Review, in 1978, and an undergraduate degree, summa cum laude, from Columbia College in 1975. Mr. Reich served as law clerk to the Honorable Arlin M. Adams of the U.S. Court of Appeals for the Third Circuit.

At Cleary Gottlieb Steen & Hamilton, the team continues to advise on multibillion-dollar cross-border deals. Partners Yaron Reich and  Corey Goodman are representing packaging company Bemis in relation to its $6.8bn all-stock combination with Amcor. Goodman continues to represent Alphabet/Google in connection with its $1.1bn business cooperation agreement with HTC Corporation and its acquisition of Socratic Inc, a company that specializes in e-learning. Jason Factor represented International Flavors & Fragrances, a major producer of scent, taste and nutrition, in its $7.1bn acquisition of Frutarom Industries, a flavors, savory solutions and natural ingredients company. Meyer Fedida works with numerous private equity firms and recently advised The Carlyle Group on its acquisition of an approximately 31% stake in The TCW Group. The deal spanned the US, Japan and Grenada. All named lawyers practice out of the New York office.

In a display of its skills in private equity and investment funds, Jason Factor and Corey Goodman are continuing to act for long-term client Warburg Pincus and its portfolio companies in various transactions, such as Allied Universal's recently closed $1bn acquisition of US Security Associates from Goldman Sachs. Factor and Meyer Fedida also worked on the formation of various private equity funds and transactions on behalf of TPG, including TPG Asia VII, the seventh fund in the TPG Asia and its investments in Uber Technologies. Other highlights include assisting Honeywell on the tax-free spin-off of its Homes and ADI Global Distribution business, and structuring the $1.1bn business cooperation agreement between its client, Alphabet, and HTC Corporation. William McRae is the ‘go-to’ figure for structuring in-bound investments, private equity and REITs. James Duncan, Erika Nijenhuis, Yaron Reich and senior counsel James Peaslee are also of note. All lawyers are based in New York.
