Position

Managing Partner of Winston & Strawn LLP’s Paris office, Gilles Bigot heads the Corporate and Litigation Departments, as well as the Health Care Department. A pioneer of the modernization of the economy and the health care law in France, Mr. Bigot has been advising and defending French and European market leaders for more than twenty-five years, including: publicly and privately managed health institutions; laboratories; professional associations; medical equipment and pharmaceutical product manufacturers; and health care practitioners. His practice, which was recognized in 2015 as one of the best of the market (Legal 500, Chambers Europe, Décideurs Stratégie Finance & Droit, Option Droit & Affaires), covers various aspects of the health care and life science sector in a cross-disciplinary manner. His experience includes counseling matters in connection with acquisitions, transfers or restructurings, litigation matters before civil and criminal courts, arbitration matters, as well as regulatory matters related to French or European laws. Considered as a “technically brilliant and skilled” attorney offering “an outstanding client-oriented service” (Legal 500 France), Mr. Bigot has developed a high-level know-how in corporate litigation, which leads him to represent regularly large French and international groups and their managers in contentious matters related to mergers and acquisitions and restructurings (finance litigation, management of conflicts between shareholders/managers, and contractual litigation). Mr. Bigot works with major players in the health care sector. Longstanding clients such as: the French Red Cross; leader of the medico-social sector; the Générale de Santé group; and recently the Point Vision group, the first national network of ophthalmology centers; Mutuelle Nationale Hospitalière (MNH), the first French mutual society of the health sector; and The Union (International Union Against Tuberculosis and Lung Disease), that have called on the services of Winston & Strawn’s teams to manage their transactional and litigation matters. He also received recognition for innovative matters such as the launch of various networks of medical biology, dentistry, ophthalmology centers and retail drugstores, which significantly improve access to health care services.

Recent work includes assisting Azimut with the sale of a controlled stake in natural health products manufacturer Ponroy Santé to a private equity fund. Managing partner Gilles Bigot and Mathilde Lefranc-Barthe are advising Laboratoire ZTP on the creation of a centre for medically-assisted procreation. In other work, Anne-Carine Ropars-Furet recently teamed up with Bigot to handle a wrongful dismissal dispute on behalf of a former director and shareholder of a medical laboratory in Paris, and counsel Julie Vern Cesano-Gouffrant recently assisted a player in the medical biology sector with the negotiation of a partnership agreement.   • The new French regulation applying to national insurance contributions for managers and shareholders

    French insurance contributions on executive and shareholder remuneration (pay + dividends) have been substantially increased by the National Insurance Funding for 2013 Act, No. 2012-1404, of 17th December 2012. Until 31st December 2012, all dividends were subject to national insurance contributions on unearned income but henceforth, under Article L136-3 of the National Insurance Code, amended by Act No. 2012-1404, certain dividends   are considered as pay received by executives and shareholders and are therefore subject to the national insurance contributions on pay. The Act also abolished the ceiling on health insurance contributions payable by the self-employed and all this means that businesses must rethink the way that they have been structured until now.
