Partner in Weil’s Securities Litigation practice group focusing on shareholder derivative and class action litigation and corporate governance counseling. Litigated, counseled, written and lectured for more than 30 years on a wide variety of corporate governance subjects. Author of The Business Judgment Rule: Fiduciary Duties of Corporate Directors, a four-volume, 6,000-page treatise now in its sixth edition and that has been cited in over 50 judicial decisions. Recent representative clients include AIG and GE, and the directors and officers of Aeropostale, Fairway Holdings, Francesca’s, lululemon, Ralph Lauren and Wal-Mart.
