Career

Ms. Sandhu specializes in negotiating and structuring international technology and IP transactions ranging from joint ventures and strategic alliances, patent licenses, co-marketing and co-promotion arrangements, IP acquisitions and divestitures (including of large patent portfolios), technology transfer and outsourcing to settlements of IP litigation. She has a particular focus on deal-making in China. Her practice encompasses a wide range of technologies, including consumer electronics, computer hardware and software, semiconductor devices and manufacturing equipment and processes, biotechnology, pharmaceuticals, medical devices, communications (network and telephony) and the Internet. She is a frequent speaker and author on IP issues.

On the corporate transactional side, the group covers licences in relation to mergers and acquisitions, joint ventures, and strategic alliances, while the non-transactional practice includes research and development agreements as well as e-commerce contracts, outsourcing transactions and professional service agreements. The firm is present in New York, where practice head Michael Epstein, Jeffrey Osterman and Charan Sandhu are based, and on the West Coast; here Karen Ballack is the main contact in Silicon Valley after John Brockland left for Hogan Lovells US LLP. New York-based global technology and IP transactions head Michael Epstein acted for inVentiv Health in the technology and IP aspects of its $4.6bn merger with INC Research Holdings; Charan Sandhu advised the transaction committee of the board of directors of Reynolds American (Reynolds) on the technology and IP aspects of its $60.6bn sale to British American Tobacco (BAT) of the 57.8% of Reynolds’ stock that BAT did not already own; and Jeffrey Osterman advised French multinational pharmaceutical company Sanofi on the technology and IP aspects of the $25bn exchange of its animal health business for the consumer healthcare business of Boehringer Ingelheim.
