Stuart Goldring is a nationally recognized authority on federal income tax matters involving financially troubled companies. He has extensive experience advising debtors, creditors, potential acquirers, and investors in troubled companies. Mr. Goldring also regularly advises on the structuring of acquisitions, dispositions, and other transactions involving corporations and multi-corporate groups. He co-authored the treatise Tax Planning for Troubled Corporations (2014 ed. CCH) and is an adjunct professor at NYU School of Law.

The largely New York-based team at Weil, Gotshal & Manges LLP advises on the tax implications of cross-border M&A and restructurings. Kenneth Heitner assisted the board of directors’ transaction committee of tobacco manufacturer Reynolds American with the tax aspects of the $60.6bn sale to British American Tobacco, while Kimberly Blanchard and Stuart Goldring have been advising the US arm of Japan-based auto parts company Takata on the tax aspects of its Chapter 11 bankruptcy and the related $1.6bn asset sale to Key Safety Systems. Mark Schwed acted for the Chinese HNA Group regarding tax issues relating to its $6.5bn acquisition of a 25% stake in Hilton Worldwide Holdings from affiliates of Blackstone.

The ‘solution-oriented and business-savvy’ Mark Schwed, who in 2017 advised on several M&A transactions for American Securities, and fund taxation lawyer Robert Frastai are also recommended.
