The Warsaw office has top-tier M&A, private equity, capital markets, privatization, and restructuring & insolvency practices, as well as leading dispute resolution, banking & finance, tax and energy & natural resources practices. Transactional support is provided by specialists in the fields of real estate, antitrust/competition law, employment/employee matters, environmental law, and IP/IT.

Approximately 80 attorneys are based in Warsaw, including Polish legal advisors and advocates, as well as US and UK-qualified attorneys. The Warsaw office often co-operates closely with Weil’s other offices worldwide to provide the highest quality of legal services in connection with cross-border transactions.

The Warsaw office services a broad spectrum of clients, including many of the largest Polish companies and a host of leading international entities. These clients are involved in a wide range of industries, including banking, real estate, media and entertainment, energy, telecommunications, utilities and automotive.

Its most prominent representations include advising on the largest foreign acquisition ever made by a Polish company, as well as advising on some of the biggest investments ever made by private equity funds in Poland. The Warsaw office advised on the largest initial public offering ever conducted in Central and Eastern Europe, and on the biggest IPO ever conducted on the Warsaw Stock Exchange by a Polish private company. It also delivers excellent results representing clients in a range of dispute resolution, litigation and regulatory matters.

Recently, the firm advised: UniCredit S.p.A. in connection with the disposal of 32.8% of the shares in Bank Pekao S.A. to Powszechny Zaklad Ubezpieczen S.A. and Polski Fundusz Rozwoju S.A. for the total price of €2.4bn; J.P. Morgan, Bank of America Merrill Lynch and UBS Investment Bank, acting as global co-ordinators and joint bookrunners, as well as Bank Zachodni WBK S.A. and PKO BP Securities, acting as joint bookrunners and co-offering agents, in connection with the IPO of Play Communications S.A., with a total value €930m; companies from the Polska Grupa Energetyczna S.A. capital group, Polskie Gornictwo Naftowe i Gazownictwo S.A., Energa S.A., Polski Fundusz Rozwoju S.A. and Polska Grupa Gornicza (‘PGG’) in connection with the acquisition by PGG of the majority of assets of Katowicki Holding Weglowy S.A.; PBG S.A., one of Poland’s largest construction companies, in connection with a restructuring of its capital group valued at approximately €720m; Pfleiderer Group S.A. in connection with the refinancing of the indebtedness of the group by means of a €450m covenant lite term loan B and revolving facilities. The firm is also representing PGNiG S.A. in proceedings before an ad hoc arbitral tribunal regarding the revision of the contract price for gas supplied to Poland under the Yamal contract.

The Warsaw office of Weil provides extensive pro bono legal assistance. The firm has been a key partner of the Strategic Litigation Program of the Helsinki Foundation for Human Rights and also provided legal assistance in connection with the establishment of the Museum of the History of Polish Jews in Warsaw. In the past year the firm has continued working on a number of other pro bono matters, including advising, inter alia, the Auschwitz-Birkenau Foundation, which maintains the memorial and protects the remains of the Nazi concentration camp at Auschwitz, and the Ashoka Foundation, which supports social entrepreneurs.
