It recently advised longstanding client CEZ on a €270m refinancing to help it acquire a German mining company, and also advised state authorities on financing infrastructure and PPP projects. Other clients include Citigroup and Deutsche Bank. Securities expert Karel Drevinek co-heads the practice with Petr Severa, who focuses on capital markets and private equity. Severa successfully represented Evraz Vitkovice Steel in litigation.

Karel Muzikar is an experienced adviser on cross-border transactions, and recently advised CCMP Capital Advisors on its €250m sale of food producer Nowaco. Muzikar also acted for CEZ on a number of acquisitions of local energy providers. Karel Drevinek and Petr Severa provide general corporate and commercial advice to local companies such as Unipetrol and Vítkovice, while Martin Kramar recently acted for Viamont, a construction company, in selling a 50% stake to local competitor Strabag.
Dispute resolution

It has strong expertise in international arbitration, and represents private companies and the state in complex, high-value disputes. Practice head Karolína Horáková represented the Ministry of Finance in a €1.3bn ICC arbitration against a local bank and also undertakes commercial litigation, including defending Telefónica against claims made by minority shareholders regarding share prices. Karel Muzikar, Petr Severa and Martin Kramar are recommended for ‘perfectly analysing a problem and solving it in accordance with the client’s business needs’. Muzikar and Kramar led on defending Odra River Basin Directorate against a €590m flood damages claim brought by a private company.
Real estate and construction

Weil, Gotshal & Manges’ real estate team in Prague is led by Karel Muzikar and Petr Severa. The practice’s focus on the public sector has kept the practice busy with work for the government on PPP and major infrastructure projects. It also acted for CEZ on construction issues relating to power plant projects. Martin Kramar advises on public and private sector matters, and ‘provides valuable insight, service, and support’.
TMT
Within TMT, Weil, Gotshal & Manges LLP is a second tier firm,
Weil, Gotshal & Manges’s managing partner Karel Muzikar leads the TMT practice, with Martin Kramar also advising on regulatory litigation. The practice represents state and municipal authorities as well as corporate clients, and recently advised the City of Prague on competition aspects of an electronic payment card system. The team also represented Telefónica O2 in litigation against several local competitors concerning regulatory issues.
