David focuses his practice primarily on corporate and securities transactions for public companies, private companies, investment banking and private equity firms. His representation includes: advising boards on corporate governance matters; public offerings and private placements of equity and debt; publicly traded limited partnerships; mergers, acquisitions and dispositions; joint ventures and private equity investments; and redemptions and exchanges of preferred equity and debt. David has particular experience with publicly-traded master limited partnerships, exploration and production companies and royalty trusts.

Among the leaders for energy offerings’, Vinson & Elkins LLP’s capital markets team also secures a steady flow of work relating to the aviation, healthcare, real estate and TMT sectors. David Oelman and Matthew Strock co-head a Houston-based team that also benefits from the senior experience of firm chairman Mark Kelly and of counsel Michael Harrington. Among its issuer-side highlights, the firm advised Concho Resources on its $1.8bn offering of senior notes and it also assisted Occidental Petroleum Corporation with its $1.5bn offering of senior notes. The firm has also been active on the manager side and recent work includes advising the underwriters on Enterprise Products Partners’ $1.7bn offering of junior notes. In 2017, Lande Spottswood and Thomas Zentner were promoted to partner.

In line with its firmwide strength in oil and gas, Vinson & Elkins LLP’s Houston-headquartered practice predominantly handles offerings for energy and natural resources issuers - it also acts for a significant volume of REITs, life sciences companies and financial institutions. In a deal that demonstrates its core strength, practice co-head David Oelman advised BP Midstream Partners on its $765m IPO. In another company-side highlight, Douglas McWilliams and Ramey Layne advised Natural Gas Partners-backed Vantage Energy Acquisition on its $552m IPO. The firm’s growing prominence on the manager side is evident in McWilliams and Layne’s recent advice to the underwriters on Silver Run Acquisition’s $1bn IPO, while Oelman assisted the underwriters with Antero Midstream’s $875m IPO. The group also draws on the experience of capital markets co-head Matthew Strock.

Vinson & Elkins LLP’s Houston-based practice, which acts for a relatively even split of issuers and managers, has a prominent record for offerings in the energy and natural resources sector - it also regularly handles deals relating to the real estate, telecoms and technology industries. Among its energy highlights, counsel Daniel Spelkin led advise to CrownRock on its $1bn offering of senior notes and of counsel Michael Harrington assisted Concho Resources with its $600m offering of senior notes. In a non-energy highlight, Spelkin and key partner David Stone advised telecoms company, Belden, on two offerings of notes totaling €750m. On the underwriter side, Stone advised the underwriters to Southwestern Energy on its $1.5bn public offering of senior notes. David Oelman, who co-heads the capital markets practice, is also recommended.
