George serves as the Head of the Tax and Employment Benefits/Executive Compensation (EBEC) Department. He represents corporate and individual clients in a wide range of tax planning and tax controversy matters. Over his 30-year career with the firm, George has assisted numerous individuals, partnerships, and multinational corporations in structuring complex transactions and in resolving disputes with the Internal Revenue Service. George also is a member of V&E’s Management Committee.

George serves as outside tax counsel for U.S. and non-U.S. based public companies in businesses including medical devices, computer software, real estate, LNG, oil and gas exploration and production, energy services, electric power generation and marketing. He represents corporations in complex domestic and international mergers, acquisitions, reorganizations and separations, including spin-offs. George has extensive international tax experience. In addition, he assists corporate clients — both “inbound” and “outbound” — in establishing, documenting, and defending intercompany transfer pricing strategies and policies. George has represented clients in the establishment and resolution of disputes involving cost sharing arrangements.

George takes an interdisciplinary approach to his clients’ matters. In his tax planning practice, he works closely with the client’s tax executives and in-house counsel as well as financial and operating personnel, external auditors, and various consultants. Drawing on his extensive experience resolving tax controversies, George brings a unique perspective to the structuring and documentation of transactions.

Washington DC-based Gary Huffman represented Sunoco Logistics Partners in its merger with Energy Transfer Partners, whereby the former acquired the latter in a $20bn unit-for-unit transaction.
