The London office opened in 1971, making Vinson & Elkins one of the first US-based law firms to establish an office in the UK. It operates a large, successful and expanding international business group, primarily comprised of English solicitors and US lawyers, with several also licensed in other jurisdictions. London serves as a co-ordinating centre for the firm’s operations in Europe, the Middle East, Africa, Russia and the former Soviet Union, with respect to clients operating out of the US, London and elsewhere.

Types of work undertaken: The London office advises on virtually every aspect of the energy industry, including upstream and downstream oil and gas, power, LNG and pipeline projects, terminal processing arrangements, marketing agreements, power purchase agreements and related concession agreements, energy trading arrangements and other energy-related contracts. Clients include international energy companies, as well as governmental entities.

A wide range of corporate finance and securities matters are handled from London for investment banks, private equity funds and public and private companies, as well as other clients. Services include AIM and other market listings. In addition, the office advises clients on matters relating to compliance with the securities laws of the US.

The London office also has a large and expanding mergers and acquisitions practice, including financing expertise. Clients are drawn from a variety of sectors, including hi-tech corporates, private equity houses and multinationals in the oil and gas, petrochemicals and energy industries. Clients include indigenous European corporates and individuals, and US companies investing in Europe and elsewhere.

Project development and finance is also an area of expertise, including advising lenders, developers, sponsors, governments and others regarding major international projects, ranging from power and energy to telecommunications and infrastructure in general. The London office regularly advises on a wide variety of other matters, including those governed by laws of England and Wales, the US and other jurisdictions. These include litigation and arbitration, intellectual property, licensing, employment, joint ventures, taxation, construction, regulatory, trusts and estates, and environmental matters.

    In Nzinga Maswaku v Westminster City Council [2012] EWCA Civ 669 the Court of Appeal clarified that in offering a homeless person with alternative temporary accommodation the local authority is obliged to point that if the offer is refused it has discharged its Part VII duties under the Housing Act 1996.

  • COUNCIL TAX

    In Harrow LBC v Ayiku [2012] EWHC 1200 (Admin) Sales J held that the word “or” in the Council Tax (Exempt Dwellings) Order 1992, art 3 Class N, had a disjunctive meaning, therefore it was sufficient for the non-British spouse of a foreign student to satisfy one or other of the two conditions, namely being prevented from taking paid employment or being prevented from claiming benefits, in order to qualify as a “relevant person” who was exempted from liability to pay council tax.

    In R (Calver) v Adjudication Panel for Wales [2012] EWHC 1172 (Admin) Mr Calver was a member of Manorbier Community Council who successfully challenged the decision of the Panel to dismiss his appeal against a decision by Prembrokeshire County Council Standards Committee censuring him for a number of comments or blogs posted by him on a website he owned and controlled.

  • Judicial Review

    The Judgment of Lindblom J in The Manydown Co Ltd v Basingstoke and Deane BC [2012] EWHC 977 (Admin) repays attention. The Claimant sought to challenge by judicial review 2 decisions of the Council: (1) the Council’s refusal to reconsider its position on the development of a site that it owns (and is the subject matter of a Joint Development Partnership Agreement with the Claimant); and (2) a decision of the Council’s Cabinet approving a selection of sites for development which did not include this site.
