Position
David Rockwell’s practice is focused on the representation of non-US companies and financial institutions with corporate finance and M&A activities. He has acted on behalf of both underwriters and issuers in connection with a wide range of high-profile equity and debt financing transactions. Recent equity highlights include the recently announced rights offering by Porsche SE; rights offerings by ING, SEB, Anheuser-Busch InBev, UBS, ProLogis European Properties and Sky Deutschland; and the pending IPO of Skype and the recent IPOs of Brenntag and Tom Tailor, among others. His debt experience includes numerous SEC-registered and Rule 144A debt offerings by both corporate and sovereign issuers. His M&A practice includes representing TeliaSonera’s bids for Eesti Telekom and TEO, and Akzo Nobel in the sale of its healthcare businesses to Schering-Plough. He has advised various participants in securities offerings by issuers from Belgium, Czech Republic, Finland, Germany, Ghana, Hungary, Italy, Luxembourg, Mexico, Netherlands, Norway, Russia, Slovakia, South Africa, Sweden, Switzerland and the UK.
Career
Partner since 2000. He is senior vice-chairman of the IBA’s Securities Law Committee.
