Areas of practice

Mergers and acquisitions: S&C is the number one international law firm for announced Latin America M&A deals by value in the first half of 2017, full-year 2016 and over the last five and ten years. The firm advised on the largest Latin America deal of 2016, representing State Grid in its Brazil acquisition; as well as CIC Capital as a consortium member in its acquisition of a stake in Petrobras’ gas pipeline unit; Anheuser-Busch InBev in its $20.1bn acquisition of the remaining stake it did not already own in Grupo Modelo; AT&T in its acquisition of Mexican wireless company Iusacell for $2.5bn and its $1.875bn acquisition of Nextel Mexico; LATAM Airlines in various M&A transactions; CPPIB in various infrastructure and energy acquisitions in the region; GBM Infraestructura and Goldman Sachs Infrastructure Partners in the Tres Mesas wind project acquisition; Bankia in its approximately $947m sale of City National Bank of Florida to Banco de Crédito e Inversiones; and Diageo in its sale of Bushmills to Jose Cuervo Overseas and its acquisition of Tequila Don Julio from Casa Cuervo.

Capital markets and corporate finance: S&C is well known for its expertise advising on complex and innovative capital markets transactions. The firm recently represented: Banco Central de la República Argentina (BCRA) on repurchase transactions, increasing BCRA’s USD cash reserves by $5bn; Morgan Stanley and other initial purchasers in a $531m senior secured notes offering and Crédit Agricole and other lenders in a $500m senior secured credit facility, each in connection with KKR’s acquisition and leaseback of certain Pemex oil and gas infrastructure assets; LATAM Airlines in several offerings and its Santiago Stock Exchange listing; Colbún and CMPC in various offerings, including the first green bond by a Chilean-listed company; and Repsol in its disposition of Argentine Government bonds. The firm acts as designated underwriters’ counsel for sovereign financings and liability management transactions by the governments of Brazil, Colombia, Mexico and Panama and issuer’s counsel to the Republic of Paraguay. In addition, S&C is a leader in sophisticated project bond offerings thanks to its experience on landmark projects in the region, such as on Colombia’s 4G projects.

Project finance: S&C has been the number one legal adviser to sponsors/borrowers in project financings in the region since its work on the groundbreaking Escondida project in Chile in the late 1980s. For over 30 years, the firm has worked on important financings on landmark oil and gas and mining and infrastructure projects for international clients including Antofagasta, Anglo American, BHP Billiton, HudBay Minerals, GasAndes, Rio Tinto, Sumitomo Corporation, Statoil and Total, among others. Recent projects include: the Antucoya copper project in Chile; the Minas-Rio mining project in Brazil; and the Sierra Gorda, Esperanza (the largest mining project financing ever to sign in Latin America) and El Tesoro projects in Chile; the OCP pipeline in Ecuador; and the Constancia project in Peru.

Dispute resolution: S&C’s international arbitration and dispute resolution practice covers a wide spectrum of matters in Latin America, including cases relating to antitrust and EC competition, contract and commercial matters, criminal defense and regulatory investigations, internal investigations, international securities and corporate law and international commercial arbitration. Recent clients include: Anheuser-Busch InBev, BCRA, Bancolombia, The Bank of Nova Scotia, Repsol, Standard Chartered Bank, Statoil, Tenaris and Volaris.
